Common use of Cease Trade Order Clause in Contracts

Cease Trade Order. In the event that any order, action or proceeding which ceases trades or otherwise operates to prevent or restrict trading in securities of the Company is made or threatened by a Securities Regulator, the Agent shall be entitled, at its sole discretion, in accordance with Subsection 7.8 of this Agreement, to terminate its obligations under this Agreement (and the obligations of the Purchasers arranged by them to purchase the FT Units and Subscription Receipts by written notice to that effect given to the Company prior to the Closing Time.

Cease Trade Order. In the event that any order, action or proceeding which ceases trades or otherwise operates a stop order exists with respect to prevent or restrict trading in the securities of the Company is made or threatened by a Securities RegulatorCompany, the Agent shall be entitled, at its sole discretionoption, in accordance with Subsection 7.8 subparagraph 10(h) of this Agreement, to terminate its obligations under this Agreement (and the obligations of the Purchasers arranged by them it to purchase the FT Units and Subscription Receipts Receipts) by written notice to that effect given to the Company prior to the Closing Time.

In the event that If any order, action or proceeding which ceases trades or otherwise operates order to prevent or restrict cease trading in securities of the Company is made or threatened by a Securities Regulator, which, in the Agent sole opinion of the Agents, operates or could operate to prevent or restrict trading in or distribution of the Units in any of the Selling Jurisdictions, the Agents shall be entitled, at its sole discretiontheir option, in accordance with Subsection 7.8 subparagraph 7(h) of this Agreement, to terminate its their obligations under this Agreement (and the obligations of the Purchasers arranged by them to purchase the FT Units and Subscription Receipts Common Shares) by written notice to that effect given to the Company prior to the Closing Time.

In the event that any order, action or proceeding which ceases trades or otherwise operates to prevent or restrict trading in securities of the Company is made or threatened by a Securities Regulator, the Agent Underwriter shall be entitled, at its sole discretion, in accordance with Subsection 7.8 8(g) of this Agreement, to terminate its obligations under this Agreement (and the obligations of the Purchasers arranged by them it to purchase the FT Units and Subscription Receipts Offered Securities) by written notice to that effect given to the Company prior to the Closing Time.
