CEO Search. As promptly as practicable following the date of this Agreement, the Corporate Governance and Nominating Committee shall initiate a process for selecting a chief executive officer of the Company (the “CEO Search Process”). The CEO Search Process shall be overseen by the Corporate Governance and Nominating Committee. In conducting the CEO Search Process, the Corporate Governance and Nominating Committee shall evaluate both internal and external candidates for the position of chief executive officer. The Corporate Governance and Nominating Committee may engage an executive search firm to conduct the CEO Search Process, the fees and expenses of which shall be paid by the Company.
