Certain Business Relationships with Company and its Affiliates. Except as contemplated hereby with respect to the Company, neither the Shareholders nor any of their Affiliates have been involved in any business arrangement or relationship with the Company and its Affiliates within the past twelve (12) months, and none of the Shareholders and their Affiliates owns any asset, tangible or intangible, which is material to the business of any of the Company and its Affiliates. 5.30 Third-party Payors. Disclosure Schedule 5.30 sets forth an accurate, correct and complete list of the Company’s third-party payors. Neither the Company, nor the Shareholders have received any notice nor has any Knowledge that any third-party payor intends to terminate or materially reduce its business with, or reimbursement to, the Company. Neither the Shareholders nor the Company has any reason to believe that any third-party payor will cease to do business with the Company and New PC after, or as a result of, the consummation of any transactions contemplated hereby. Neither the Shareholders nor the Company knows of any fact, condition or event which would adversely affect its relationship with any third-party payor.
