Certain Income Taxes. Notwithstanding anything to the contrary in this Article II, NOV shall be liable, and shall indemnify and hold harmless the SpinCo Group, for all Taxes arising as a result of the Transactions from (i) excess loss accounts taken into account under Code Section 1502, (ii) Code Section 357(c) or (iii) Code Section 361(b), in each case, including under similar state and local law provisions. Any Taxes attributable to deferred intercompany gains that are triggered as a result of the Transactions shall be the responsibility of NOV and shall not be included in determining the SpinCo Group’s Income Tax liability. To the extent there are adjustments to the amount of any deferred intercompany gain triggered as a result of the Distribution, NOV shall be responsible for paying the additional Tax associated with any increase in the amount of gain and shall also be entitled to any Refund attributable to any reduction of gain.

Belo Group, for all Taxes arising as a result of the Transactions from (i) excess loss accounts taken into account under Code Section 1502, (ii) Code Section 357(c) or (iii) Code Section 361(b), in each case, including under similar state and local law provisions. Any Taxes attributable to deferred intercompany gains that are triggered as a result of the Transactions shall be the responsibility of Belo and shall not be included in determining the A. H. Belo Group’s Income Tax liability. To the extent there are adjustments to the amount of any deferred intercompany gain triggered as a result of the Distribution, Belo and A. H. Belo shall, pursuant to Section 2.01(a), be responsible for paying the additional Tax associated with any increase in the amount of gain in the ratio of one-third and two-thirds, respectively, and Belo shall be entitled to any Refund attributable to any reduction of gain except to the extent the Refund is attributable to an increase in the amount of such gain, in which case the Refund or portion thereof shall be shared between Belo and A. H. Belo in accordance with the above ratio.
Certain Income Taxes. ConAgra shall have the sole right (a) to represent the Acquiring Companies and Acquired Companies and their predecessors in any Income Tax audit or administrative or court proceeding relating to Income Taxes of ConAgra or any Acquiring Company or Acquired Company attributable to the Pre-Closing Period that are reported on Income Tax returns filed by ConAgra, (b) to negotiate, compromise and settle any such audit or proceeding and (c) to employ counsel of its choice at its expense. Notwithstanding the foregoing, with respect to Income Taxes, ConAgra shall not be entitled to settle, either administratively or after the commencement of litigation, any claim for such Income Taxes which would adversely and directly affect the Liability for Income Taxes of any Acquiring Company or any Acquired Company for any period after the Closing Date to any extent (including, but not limited to, the imposition of Income Tax deficiencies, or the adjustment of any Tax attribute such as the reduction of asset bases or cost adjustments, the lengthening of any amortization or depreciation periods, the denial of amortization or depreciation deductions, or the reduction of loss or credit carryforwards) without the prior written consent of Holdco, which consent shall not be unreasonably withheld, conditioned or delayed, provided that where consent to settlement of an Income Tax claim is so withheld by Holdco, ConAgra's indemnification Liability hereunder shall not exceed the Liability that would have resulted from ConAgra's proposed settlement of such Income Taxes.
Certain Income Taxes. The Trustees shall not reimburse the Trustor from assets of any trust hereunder for the Trustor's income tax (Federal, state, local, or foreign) on the amount (if any) of the gross income of such trust that is reportable directly on the Trustor's return under Code Sec. 671. The Trustor hereby waives any right or eligibility to be reimbursed for such taxes.

If the Borrower shall be required by law to deduct any Taxes from or in respect of any sum payable to any Lender, the Issuing Lender, or the Administrative Agent, (i) the sum payable shall be increased as may be necessary so that, after making all required deductions (including deductions applicable to additional sums payable under this Section 2.14), such Lender, the Issuing Lender, or the Administrative Agent (as the case may be) receives an amount equal to the sum it would have received had no such deductions been made; provided, however, that if the Borrower’s obligation to deduct or withhold Taxes is caused solely by such Lender’s, the Issuing Lender’s, or the Administrative Agent’s failure to provide the forms described in paragraph (d) of this Section 2.14 and such Lender, the Issuing Lender, or the Administrative Agent could have provided such forms, no such increase shall be required; (ii) the Borrower shall make such deductions; and (iii) the Borrower shall pay the full amount deducted to the relevant taxation authority or other authority in accordance with applicable law.
