Certain other HHSC Reports. If the STAR+PLUS MMP: a) is Affiliated with an MCO that contracts with HHSC for other Medicaid managed care programs in Texas; and b) if that MCO submits the following reports on a timely and complete basis; and c) if the reports comprehensively include the STAR+PLUS MMP thereunder; then, the STAR+PLUS MMP is not required to submit these reports separately hereunder. Otherwise, the following reports are due to HHSC, as described in the HHSCUMCM:

  • Amendments This Agreement may not be amended, modified or waived as to any particular provision, except by a written instrument executed by all parties hereto.

  • Notices Any notice, request or other document required or permitted to be given or delivered to the Holder by the Company shall be delivered in accordance with the notice provisions of the Purchase Agreement.

  • Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of New York.

  • Severability Any provision of this Agreement that is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof, and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.
