Certain Practices. Neither the Seller, nor any of its members, ------------------ managers, or, to the Seller's knowledge, any of its officers, employees or agents has, directly or indirectly, given or agreed to give any material rebate, gift or similar benefit to any supplier, customer, governmental employee or other Person who was, is, or may be in a position to help or hinder the Seller (or assist in connection with any actual or proposed transaction by the Seller).
