Common use of Certificate of Formation and Limited Liability Company Agreement Clause in Contracts

Certificate of Formation and Limited Liability Company Agreement. The certificate of formation and limited liability company agreement of Acquiror as in effect immediately prior to the Effective Time shall be the certificate of formation and limited liability company agreement of Surviving Entity until thereafter changed or amended as provided therein or by applicable law.

Certificate of Formation and Limited Liability Company Agreement. Certificate of Formation and Limited Liability Company Agreement. The certificate of formation and limited liability company agreement of Acquiror Merger Sub, as in effect immediately prior to the Effective Time Time, shall be the certificate of formation and limited liability company agreement of the Surviving Entity Company, until thereafter changed or amended as provided therein or by applicable lawLaw; provided, however, that Article I of the certificate of formation shall read as follows: “The name of the Company is Union, LLC” .

The certificate of formation and limited liability company agreement of Acquiror as Merger Subsidiary II in effect immediately prior to the Second Effective Time shall be the certificate of formation and limited liability company agreement of the Surviving Entity unless and until thereafter changed or amended as provided therein or by in accordance with their terms and applicable law; provided that at the Second Effective Time, the certificate of formation and limited liability company agreement shall provide that the name of the Surviving Entity is “UCT Xxxxxx Engineering LLC.”

Certificate of Formation and Limited Liability Company Agreement. The certificate of formation and limited liability company agreement of Acquiror as in effect immediately prior to At the Effective Time shall be Time, the certificate of formation and limited liability company agreement of Merger Sub will, by virtue of the Merger, be the certificate of formation and limited liability company agreement, respectively, of the Surviving Entity Company until thereafter changed or amended as provided therein or by applicable lawLaw.
