Common use of Certificate of Secretary of each Credit Party Clause in Contracts

Certificate of Secretary of each Credit Party. A short-form certificate of a Responsible Officer of each Credit Party certifying as to the incumbency and genuineness of the signature of each officer of such Credit Party executing Loan Documents to which it is a party, certifying that the articles of incorporation or formation and bylaws or other governing document of such Credit Party delivered pursuant to the Existing Facility continue unchanged (or, if applicable, specifying the nature of any changes thereto) and remain in full force and effect as of the date hereof, and certifying that attached thereto is a true, correct and complete copy of (A) resolutions duly adopted by the board of directors or other governing body of such Credit Party authorizing the transactions contemplated hereunder and the execution, delivery and performance of this Agreement and the other Loan Documents to which it is a party, and (B) each certificate required to be delivered pursuant to Section 6.2(b)(iii).

Certificate of Secretary of each Credit Party. A short-form certificate of a Responsible Officer of each Credit Party (A) certifying as to the incumbency and genuineness of the signature of each officer of such Credit Party executing Loan Documents to which it is a party, (B) certifying that the such Credit Party has not modified its articles or certificate of incorporation or formation and bylaws or its bylaws, operating agreement or other governing document of such Credit Party delivered pursuant to since the Existing Facility continue unchanged (Second Amendment Effective Date or, if applicablesuch documents have not previously been delivered or have been so modified, specifying the nature attaching copies of any changes theretosuch documents and (C) and remain in full force and effect as of the date hereof, and certifying that attached thereto is a true, correct and complete copy of (A) resolutions duly adopted by the board of directors (or other governing body body) of such Credit Party authorizing and approving the transactions contemplated hereunder and the execution, delivery and performance of this Agreement and the other Loan Documents to which it is a party, and (B) each certificate required to be delivered pursuant to Section 6.2(b)(iii).

A short-form certificate of a Responsible Officer of each Credit Party certifying as to the incumbency and genuineness of the signature of each officer of such Credit Party executing Loan Documents to which it is a party, party and certifying that (A) no change has been made to any of the following, in each case as delivered to Administrative Agent on December 19, 2012, in connection with the Existing Credit Agreement: (i) the articles or certificate of incorporation or formation (or equivalent), as applicable, of such Credit Party and (ii) the bylaws or other governing document of such Credit Party delivered pursuant to the Existing Facility continue unchanged Party, (or, if applicable, specifying the nature of any changes thereto) and remain in full force and effect as of the date hereof, and certifying that attached thereto is a true, correct and complete copy of (AB) resolutions duly adopted by the board of directors (or other governing body body) of such Credit Party authorizing and approving the transactions contemplated hereunder and the execution, delivery and performance of this Agreement and the other Loan Documents to which it is a party, and (BC) each certificate required to be delivered pursuant to Section 6.2(b)(iii6.1(b)(iii).
