Certificates; Notices. A. The Managing General Partner shall furnish to the General Partners duplicate copies of policies and/or certificates of insurance certifying to the insurance then in effect (i) on or before the execution of this Agreement, (ii) upon the renewal or replacement of existing coverage or the obtaining of additional coverage, and (iii) at any other time upon the request of any General Partner on ten (10) days prior written notice. B. Each insurance policy of the Partnership shall contain a provision requiring the insurer to notify the Partnership, in writing and at least thirty (30) days in advance, of any material change in the policy and of any notice of cancellation; and upon its receipt of any such notice the Managing General Partner shall promptly forward a copy of the same to each General Partner.

Certificates; Notices. 6.2.1. Borrower and Guarantor shall furnish to Lender one duplicate original of policies of insurance or, if acceptable to Lender, certificates certifying to the insurance required by Paragraphs 6.1, (as Lender may request) and expressly granting Lender the same protections as if Lender held the original policies, (i) on or before the closing date, (ii) no fewer than twenty (20) days prior to the renewal or replacement of existing coverage or the obtaining of additional coverage, and (iii) at any other time upon the request of Lender. 6.2.2. Each insurance policy of Borrower and Guarantor shall contain a provision (i) requiring the insurer to notify Lender, in writing and at least thirty (30) days in advance of any cancellation, expiration or material change in the policy, and (ii) stating that any loss otherwise payable thereunder shall be payable notwithstanding any act or neglect of the insured and notwithstanding any provision of the policy relieving the insurer thereunder of liability for any loss by reason of the existence of other policies of insurance covering the Collateral against the peril involved, whether or not collectible, provided such coverage is available to Borrower or Guarantor at reasonable cost. 6.2.3. If the insurance, or any part thereof, shall expire, or be withdrawn, by reason of Borrower’s or Guarantor’s breach of any condition thereof, or become void or unsafe, in the opinion of Lender, by reason of the failure or impairment of the capital of any company issuing such policy, Borrower and Guarantor shall place new insurance in accordance with this Agreement. All renewal policies, with premiums paid, shall be delivered to Lender at least thirty (30) days prior to the expiration of the existing policies. 6.2.4. The insurance described in Paragraph 6.1 hereof shall not provide for deductibles in excess of amounts approved by Lender and, though obtained, maintained and paid for by Borrower and Guarantor, shall provide that loss thereunder shall be payable to Lender under a standard loss payee clause.
Certificates; Notices. 7.2.1. Borrower shall furnish to Lender duplicate copies of policies of insurance or certificates of Borrower's insurance agent certifying to the insurance required and including photocopies of all policies certified by such agent to be correct, complete and current, as Lender may request (i) on or before the Closing Date, (ii) upon the renewal or replacement of existing coverage or the obtaining of additional coverage, and (iii) at any other time upon the request of Lender. 7.2.2. Each insurance policy of Borrower shall name Lender as an additional insured party and shall provide that all proceeds payable thereunder shall be paid to Lender as loss payee or trustee for the beneficial owners thereof. All policies shall be issued by companies acceptable to Lender and having a Standard & Poors financial rating of AA or better and a size class rating of XII or larger. 7.2.3. Each insurance policy of Borrower shall be on a non-reporting and non-contributing form basis and shall contain a provision (i) requiring the insurer to notify Lender, in writing and at least thirty (30) days in advance, of any cancellation or material change in the policy, and (ii) stating that any loss otherwise payable thereunder shall be payable notwithstanding any act or neglect of the insureds and notwithstanding (a) the occupation or use of the Project for purposes more hazardous than permitted by the terms of such policy, (b) any change in title to or ownership of the Project, or (c) any provision of the policy relieving the insurer thereunder of liability for any loss by reason of the existence of other policies of insurance covering the Project against the peril involved, whether or not collectible. The amount of insurance in all cases shall be sufficient to prevent any co-insurance contribution on any loss.

  • Certificates and Documents The Company shall have delivered to special counsel to the Purchasers: (a) The Certificate of Incorporation of the Company, as amended and in effect as of the Closing Date (including the Certificate of Amendment), certified by the Secretary of State of the State of Delaware; (b) Certificates, as of the most recent practicable dates, as to the corporate good standing of the Company issued by the Secretary of State of the State of Delaware and the Secretary of the State of the State of Connecticut; (c) By-laws of the Company, certified by its Secretary or Assistant Secretary as of the Closing Date; and (d) Resolutions of the Board of Directors of the Company, authorizing and approving all matters in connection with this Agreement and the transactions contemplated hereby, certified by the Secretary or Assistant Secretary of the Company as of the Closing Date.

  • Certificates; Other Information Furnish to the Agent, in form and detail acceptable to Agent, with sufficient copies for each Lender, the following documents: (a) Concurrently with the delivery of the financial statements described in Sections 7.1(a) and 7.1(b) of this Agreement for each fiscal year-end and fiscal quarter-end, respectively, a Covenant Compliance Report duly executed by a Responsible Officer of the Borrower Representative and, as required by the Security Agreement, all original vehicle titles for vehicles acquired by any Credit Party during the prior fiscal quarter; (b) Deliver (i) no later than November 15, 2007, a pro forma opening balance sheet for Sterling and its Consolidated Subsidiaries (including the Target) and (ii) no later than December 15, 2007, an actual opening balance sheet (the “Balance Sheet”) for Sterling and its Consolidated Subsidiaries (including Target), each such balance sheet to be in form and substance reasonably acceptable to the Agent; (c) Promptly upon receipt thereof, copies of all significant reports submitted by the Credit Parties’ firm(s) of certified public accountants in connection with each annual, interim or special audit or review of any type of the financial statements or related internal control systems of the Credit Parties made by such accountants, including any comment letter submitted by such accountants to management in connection with their services; (d) Any financial reports, statements, press releases, other material information or written notices delivered to the holders of the Subordinated Debt pursuant to any applicable Subordinated Debt Documents (to the extent not otherwise required hereunder), as and when delivered to such Persons; (e) Within sixty (60) days after the end of each Fiscal Year, projections for the Credit Parties for the next succeeding Fiscal Year, substantially in the form provided to the Agent prior to Effective Date, except as otherwise requested by or agreed to by the Agent, such projections certified by a Responsible Officer of the Borrower Representative as being based on reasonable estimates and assumptions taking into account all facts and information known (or reasonably available to any Credit Party) by a Responsible Officer of the Borrower Representative; (f) Promptly upon the filing thereof, any 10-K or 10-Q filings made with the Securities and Exchange Commission or any national securities exchange; (g) Any additional information as required by any Loan Document, and such additional schedules, certificates and reports respecting all or any of the Collateral, the items or amounts received by the Credit Parties in full or partial payment thereof, and any goods (the sale or lease of which shall have given rise to any of the Collateral) possession of which has been obtained by the Credit Parties, all to such extent as Agent may reasonably request from time to time, any such schedule, certificate or report to be certified as true and correct in all material respects by a Responsible Officer of the applicable Credit Party and shall be in such form and detail as Agent may reasonably specify; and (h) Such additional financial and/or other information as Agent or any Lender may from time to time reasonably request, promptly following such request.

  • Certificates; Reports; Other Information Promptly deliver to the Administrative Agent for further distribution to each Lender: (a) promptly after the same are publicly available, press releases and other statements made available generally by any Loan Party to the public concerning material developments in the business of the Loan Parties; (b) promptly after the receipt or furnishing thereof, copies of any material requests or material notices received by any Loan Party or any of its Subsidiaries (other than in the ordinary course of business) in respect of any instrument, indenture, loan or credit or similar agreement relating to Indebtedness in excess of the Threshold Amount; (c) together with the delivery of the financial statements required pursuant to Section 6.01(b), (i) a description of each event, condition or circumstance during the last Fiscal Quarter requiring a prepayment under Section 2.03(b), (ii) a list of Subsidiaries as of the date of delivery of such financial statements or a confirmation that there is no change in such information since the later of the Effective Date or the date of the last such list and (iii) a report supplementing Schedules 5.07(b) and 5.17 and Schedules I and IV of the Security Agreement; and (d) promptly, such additional information regarding the business, legal, financial or corporate affairs of any Loan Party or any Subsidiary, or compliance with the terms of the Loan Documents, as the Administrative Agent or any Lender through the Administrative Agent may from time to time reasonably request. Documents required to be delivered pursuant to Section 6.01 or Section 6.02 shall be delivered electronically to the Administrative Agent for further distribution to each Lender; provided that upon written request by the Administrative Agent, Borrower shall deliver paper copies of such documents to the Administrative Agent for further distribution to each Lender until a written request to cease delivering paper copies is given by the Administrative Agent. Each Lender shall be solely responsible for timely accessing electronically provided documents or requesting delivery of paper copies of such documents from the Administrative Agent and maintaining its copies of such documents. Notwithstanding the foregoing, Parent’s filing of notice of any event described in Section 6.02 with the SEC shall be deemed to satisfy the requirements of this Section 6.02 on the date on which such report is first available via the SEC’s EXXXX system or a successor system related thereto.

  • Certificates of Insurance/Notices Vendor and Contractors shall provide a Certificate or Certificates of Insurance, in a form satisfactory to OGS as detailed below. Certificates shall reference the Solicitation or Contract Number. The Contractor shall not take any action, or omit to take any action that would suspend or invalidate any of the required coverages during the period of time such coverages are required to be in effect. Not less than ten (10) days’ after the expiration date or renewal date, the Contractor shall supply OGS updated evidence of coverage. Certificates of Insurance shall:  Be in the form acceptable to OGS (i.e. an Xxxxx form);  Disclose any deductible, self-insured retention, aggregate limit or exclusion to the policy that materially changes the coverage required by this solicitation or any Contract resulting from this solicitation;  Be accompanied by an Additional Insured and a Waiver of Subrogation Endorsement as required herein;  Refer to this solicitation and any Contract resulting from this solicitation by number and any other attachments on the face of the certificate; and  Be signed by an authorized representative of the insurance carrier or producer. Only original documents (Certificates of Insurance, endorsements & other attachments) or electronic forms, which can be directly traced back to the insurance carrier, agent or broker via e- mail distribution or similar means, will be accepted.

  • Filing Proofs, Certificates and Other Information Any person presenting Shares for deposit or any Owner or Holder may be required from time to time to file with the Depositary or the Custodian such proof of citizenship or residence, exchange control approval, or such information relating to the registration on the books of the Company or the Foreign Registrar, if applicable, to execute such certificates and to make such representations and warranties, as the Depositary may deem necessary or proper. The Depositary may withhold the delivery or registration of transfer of any American Depositary Shares, the distribution of any dividend or other distribution or of the proceeds thereof or the delivery of any Deposited Securities until that proof or other information is filed or those certificates are executed or those representations and warranties are made.
