Common use of Certificates of Agent Clause in Contracts

Certificates of Agent. If any Lender claims reimbursement or compensation under this Article 4, Agent shall determine the amount thereof and shall deliver to the Borrower (with a copy to the affected Lender) a certificate setting forth in reasonable detail the amount payable to the affected Lender, and such certificate shall be conclusive and binding on the Borrower in the absence of manifest error.

Certificates of Agent. If any Lender claims reimbursement or compensation under this Article 4, Agent shall determine the amount thereof and shall deliver to the Borrower Borrowers (with a copy to the affected Lender) a certificate setting forth in reasonable detail the amount payable to the affected Lender, and such certificate shall be conclusive and binding on the Borrower Borrowers in the absence of manifest error.

If any Lender claims reimbursement or compensation under this Article 4, the Agent shall determine the amount thereof and shall deliver to the Borrower LS&Co (with a copy to the affected Lender) a certificate setting forth in reasonable detail the amount payable to the affected Lender, and such certificate shall be conclusive and binding on the Borrower Borrowers in the absence of manifest error.

If any Lender claims reimbursement or compensation under this Article 4, the Agent shall determine the amount thereof and shall deliver to the Administrative Borrower (with a copy to the affected Lender) a certificate setting forth in reasonable detail the amount payable to the affected Lender, and such certificate shall be conclusive and binding on the Borrower Borrowers in the absence of manifest error.

If any Lender claims reimbursement or compensation under this Article 4, Agent shall determine the amount thereof and shall deliver to the Borrower (with a copy to the affected Lender) a certificate setting forth in reasonable detail the basis therefore and the amount payable to the affected Lender, and such certificate shall be conclusive and binding on the Borrower in the absence of manifest presumptively correct absent demonstrable error.

Certificates of Agent. If any Lender claims reimbursement or compensation under this Article 4, Agent shall determine the amount thereof and shall promptly deliver to the Borrower Representative (with a copy to the affected Lender) a certificate setting forth in reasonable detail the computation of any amount payable to the affected Lender, and such certificate shall be conclusive and binding on the Borrower Borrowers in the absence of manifest error.

Certificates of Agent. If any Lender claims reimbursement or compensation under this Article 4, Agent shall determine verify the amount thereof and shall deliver to the Borrower Borrowers (or ATI on behalf of the Borrowers) (with a copy to the affected Lender) a certificate setting forth in reasonable detail the amount payable to the affected Lender, and such certificate shall be conclusive and binding on the Borrower Borrowers in the absence of manifest error.

Certificates of Agent. If any Lender claims reimbursement or compensation under this Article 4, Agent shall determine the amount thereof and shall deliver to the Borrower relevant Borrowers(s) (with a copy to the affected Lender) a certificate setting forth in reasonable detail the amount payable to the affected Lender, and such certificate shall be conclusive and binding on the Borrower Borrowers in the absence of manifest error.

Certificates of Agent. If any Lender claims reimbursement or compensation under this Article 4, the Administrative Agent shall determine the amount thereof and shall deliver to the Borrower applicable Borrowers (with a copy to the affected Lender) a certificate setting forth in reasonable detail the amount payable to the affected Lender, and such certificate shall be conclusive and binding on the Borrower Borrowers in the absence of manifest error.
