Certificates of Interest. Interest in the Company shall be represented by certificate(s) issued by the Company, shall be deemed “securities” within the meaning of Section 8-102 of Article 8 of the Delaware Uniform Commercial Code and shall be governed by Article 8 of the Uniform Commercial Code.

Certificates of Interest. The Manager may make such rules and regulations as he may deem appropriate concerning the issuance and registration of Membership Units. Subject to the laws of Delaware and the terms of this Agreement, the Interests in the Partnership shall be transferable only upon the books of the Partnership by the holders thereof, upon surrender and cancellation of Certificates for such Interest transferred, with a duly executed assignment and power of transfer endorsed thereon or attached thereto, and with such proof of the authenticity of the signature to such assignment and power of transfer as the Partnership or its agents reasonably may require. All transfers and assignments shall be subject to the provisions of Article 8 above and to all other provisions of this Agreement. The Partnership may issue a new or replacement Certificate in place of any Certificate previously issued by it and satisfactorily alleged to have been lost, stolen or destroyed.

Certificates of Interest. Every holder of record of a Unit shall be entitled to have a certificate certifying the number of Units owned by such Person in the Company. Each certificate evidencing ownership of Units shall bear and be subject to the following legend:

The Company hereby irrevocably elects that all membership interests in the Company shall be securities governed by Article 8 of the Uniform Commercial Code as in effect in the state of its jurisdiction of formation. Each certificate evidencing the membership interests in the Company shall bear the following legend: “This certificate evidences an interest in ADS Priority Transport, Ltd. and shall be a security for purposes of Article 8 of the Uniform Commercial Code as in effect in the state of its jurisdiction of formation.” This provision shall not be amended, and any purported amendment to this provision, shall not take effect until all outstanding certificates have been surrendered for cancellation.
