Certification and Qualifications. Except as specifically provided in this Agreement, no teacher shall be assigned to a position for which he/she is not certified and qualified.

Certification and Qualifications. Superintendent represents that Superintendent has and will maintain all certificates, credentials and qualifications required by law, including regulations of the Department of Education and those required by the Board to serve in the position of Superintendent of Schools. If at any time Superintendent fails to maintain all certificates, credentials and qualifications for the position of Superintendent of Schools, this Agreement and Superintendent's employment shall automatically terminate and the Board shall have no further obligations hereunder.

Certification and Qualifications. A. The Board discourages teachers from nullifying any endorsement on their teaching certificate. However, the Board acknowledges the right of the teachers to nullify such endorsements. The Board and the Association advise teachers who exercise this right that they may jeopardize and/or restrict their employment opportunities in the event of a reduction in work force (layoff). Certification and Qualifications. The Superintendent affirms that they meet the qualifications of Section 4-201(c) (1) of the Education Article and Section 13A.12.04.03 of COMAR to allow them to hold the position of Superintendent of Schools for Howard County. The failure to do so disqualifies the Superintendent from holding their position and, therefore, will constitute cause for termination of this Contract, if not cured within thirty (30) days, and void any future obligations of the Board as set forth herein with the exception of the obligations under Section 15 that specifically survive termination of this contract. Moreover, the Superintendent shall remain fully vested in any benefits that he has earned prior to the termination of this Contract. The Superintendent further agrees that they shall hold and maintain any and all certifications for a Superintendent of Schools issued by the State of Maryland during the term of this Contract, and any extensions thereof unless waived by the State Superintendent of Schools. The Superintendent shall promptly notify the Board if they no longer meet any necessary qualifications.

  • Organization and Qualification The Company and each of the Subsidiaries is an entity duly incorporated or otherwise organized, validly existing and in good standing under the laws of the jurisdiction of its incorporation or organization, with the requisite power and authority to own and use its properties and assets and to carry on its business as currently conducted. Neither the Company nor any Subsidiary is in violation nor default of any of the provisions of its respective certificate or articles of incorporation, bylaws or other organizational or charter documents. Each of the Company and the Subsidiaries is duly qualified to conduct business and is in good standing as a foreign corporation or other entity in each jurisdiction in which the nature of the business conducted or property owned by it makes such qualification necessary, except where the failure to be so qualified or in good standing, as the case may be, could not have or reasonably be expected to result in: (i) a material adverse effect on the legality, validity or enforceability of any Transaction Document, (ii) a material adverse effect on the results of operations, assets, business, prospects or condition (financial or otherwise) of the Company and the Subsidiaries, taken as a whole, or (iii) a material adverse effect on the Company’s ability to perform in any material respect on a timely basis its obligations under any Transaction Document (any of (i), (ii) or (iii), a “Material Adverse Effect”) and no Proceeding has been instituted in any such jurisdiction revoking, limiting or curtailing or seeking to revoke, limit or curtail such power and authority or qualification.

  • Required Qualifications At all times during the term of the Contract, Vendor shall have available, under direct employment and supervision and/or subcontract agreement fully incorporating the terms and conditions of the Contract Documents, the required qualified and properly licensed (as applicable) personnel to properly fulfill all the terms and conditions of the Contract.
