Certification of Limited Liability Company and Partnership Interests. Any limited liability company and any partnership controlled by any Grantor shall either (a) not include in its operative documents any provision that any Equity Interests in such limited liability company or such partnership be a “security” as defined under Article 8 of the Uniform Commercial Code, or (b) certificate any Equity Interests in any such limited liability company or such partnership. To the extent an interest in any limited liability company or partnership controlled by any Grantor and pledged hereunder is certificated or becomes certificated, each such certificate shall be delivered to the Agent pursuant to Section 7(a) and such Grantor shall fulfill all other requirements under Section 7 applicable in respect thereof.

Each Grantor further acknowledges and agrees that with respect to any interest in any limited liability company or partnership controlled on or after the date hereof by such Grantor and pledged hereunder that is not a “security” within the meaning of applicable securities transfer laws, such Grantor shall at no time elect to treat any such interest as a “security” within the meaning given to such term in applicable securities transfer laws, nor shall such interest be represented by a certificate, unless such election is made and such interest is thereafter represented by a certificate that is promptly delivered to the Security Agent pursuant to the terms hereof.
