Common use of Certifications and Attestations Clause in Contracts

Certifications and Attestations. (i) During the term of this Agreement and thereafter to the extent necessary for the timely filing by SAP of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, Qualtrics shall cause its principal executive officer and principal financial officer to provide to SAP on a timely basis and as reasonably requested by SAP (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002, as amended, to be filed with such annual and quarterly reports, (B) any certificates requested as may be necessary under German legal requirements, (C) any certificates or other written Information which such principal executive officer or principal financial officer received as support for the certificates provided to SAP and (D) a reasonable opportunity to discuss with such principal financial officer and other appropriate officers and employees of Qualtrics any issues reasonably related to the foregoing. (ii) During the term of this Agreement and thereafter to the extent necessary for the timely filing by Qualtrics of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, SAP shall cause its appropriate officers and employees to provide to Qualtrics on a timely basis and as reasonably requested by Qualtrics (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002, as amended, to be filed with such annual and quarterly reports, (B) any certificates or other Information which such appropriate officers and employees received as support for the certificates provided to Qualtrics and (C) a reasonable opportunity to discuss with such appropriate officers and employees any issues reasonably related to the foregoing.

Certifications and Attestations. (i) During Until the term of this Agreement first SINA fiscal year end occurring after the Control Ending Date, and thereafter to the extent necessary for the timely filing by SAP SINA of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, Qualtrics Weibo shall cause its principal executive officer and principal financial officer to provide to SAP SINA on a timely basis and as reasonably requested by SAP SINA (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002, as amended, 2002 to be filed with such annual and quarterly reports, (B) any certificates requested as may be necessary under German legal requirements, (C) any certificates or other written Information which such principal executive officer or principal financial officer received as support for the certificates provided to SAP SINA and (DC) a reasonable opportunity to discuss with such principal financial officer and other appropriate officers and employees of Qualtrics Weibo any issues reasonably related to the foregoing. (ii) During the term of this Agreement and thereafter to To the extent necessary for the timely filing by Qualtrics Weibo of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, SAP SINA shall cause its appropriate officers and employees to provide to Qualtrics Weibo on a timely basis and as reasonably requested by Qualtrics such Party (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002, as amended, 2002 to be filed with such annual and quarterly reports, (B) any certificates or other Information which such appropriate officers and employees received as support for the certificates provided to Qualtrics Weibo and (C) a reasonable opportunity to discuss with such appropriate officers and employees any issues reasonably related to the foregoing.

Certifications and Attestations. (i) During Until the term of this Agreement first E-House fiscal year end occurring after the Control Ending Date, and thereafter to the extent necessary for the timely filing by SAP E-House of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, Qualtrics Leju shall cause its principal executive officer and principal financial officer to provide to SAP E-House on a timely basis and as reasonably requested by SAP E-House (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002, as amended, 2002 to be filed with such annual and quarterly reports, (B) any certificates requested as may be necessary under German legal requirements, (C) any certificates or other written Information which such principal executive officer or principal financial officer received as support for the certificates provided to SAP E-House and (DC) a reasonable opportunity to discuss with such principal financial officer and other appropriate officers and employees of Qualtrics Leju any issues reasonably related to the foregoing. (ii) During the term of this Agreement and thereafter to To the extent necessary for the timely filing by Qualtrics Leju of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, SAP E-House shall cause its appropriate officers and employees to provide to Qualtrics Leju on a timely basis and as reasonably requested by Qualtrics such Party (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002, as amended, 2002 to be filed with such annual and quarterly reports, (B) any certificates or other Information which such appropriate officers and employees received as support for the certificates provided to Qualtrics Leju and (C) a reasonable opportunity to discuss with such appropriate officers and employees any issues reasonably related to the foregoing.

Certifications and Attestations. (i) During Until the term first Sohu fiscal year end occurring after members of this Agreement the Sohu Group no longer collectively own at least a majority of the voting power of the then outstanding securities of Changyou, and thereafter to the extent necessary for the timely filing by SAP Sohu of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, Qualtrics Changyou shall cause its principal executive officer and principal financial officer to provide to SAP Sohu on a timely basis and as reasonably requested by SAP Sohu (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002, as amended, 2002 to be filed with such annual and quarterly reports, (B) any certificates requested as may be necessary under German legal requirements, (C) any certificates or other written Information which such principal executive officer or principal financial officer received as support for the certificates provided to SAP Sohu and (DC) a reasonable opportunity to discuss with such principal financial officer and other appropriate officers and employees of Qualtrics such Party any issues reasonably related to the foregoing. (ii) During the term of this Agreement and thereafter to the The extent necessary for the timely filing by Qualtrics Changyou of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, SAP Sohu shall cause its appropriate officers and employees to provide to Qualtrics Changyou on a timely basis and as reasonably requested by Qualtrics such Party (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002, as amended, 2002 to be filed with such annual and quarterly reports, (B) any certificates or other Information which such appropriate officers and employees received as support for the certificates provided to Qualtrics such Party and (C) a reasonable opportunity to discuss with such appropriate officers and employees any issues reasonably related to the foregoing.

Certifications and Attestations. (i) During Until the term of this Agreement first Compuware fiscal year end occurring after the Distribution Date and thereafter to the extent necessary for the timely filing by SAP Compuware of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, Qualtrics Covisint shall cause its principal executive officer and principal financial officer to provide to SAP Compuware on a timely basis and as reasonably requested by SAP Compuware (A) any certificates requested as support for the certifications and attestations required by sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002 to be filed with such annual and quarterly reports, (B) any certificates or other written Information which such principal executive officer or principal financial officer received as support for the certificates provided to Compuware and (C) a reasonable opportunity to discuss with such principal financial officer and other appropriate officers and employees of Covisint any issues reasonably related to the foregoing. (ii) For so long as Compuware is providing accounting and financial services pursuant to the Shared Services Agreement and thereafter to the extent necessary for the timely filing by Covisint of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, Compuware shall cause its appropriate officers and employees to provide to Covisint on a timely basis and as reasonably requested by Covisint (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002, as amended, to be filed with such annual and quarterly reports, (B) any certificates requested as may be necessary under German legal requirements, (C) any certificates or other written Information which such principal executive officer or principal financial officer received as support for the certificates provided to SAP and (D) a reasonable opportunity to discuss with such principal financial officer and other appropriate officers and employees of Qualtrics any issues reasonably related to the foregoing. (ii) During the term of this Agreement and thereafter to the extent necessary for the timely filing by Qualtrics of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, SAP shall cause its appropriate officers and employees to provide to Qualtrics on a timely basis and as reasonably requested by Qualtrics (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002, as amended, 2002 to be filed with such annual and quarterly reports, (B) any certificates or other Information which such appropriate officers and employees received as support for the certificates provided to Qualtrics Covisint and (C) a reasonable opportunity to discuss with such appropriate officers and employees any issues reasonably related to the foregoing.

Certifications and Attestations. (i) During Until the term of this Agreement first fiscal year end for Renren occurring after the Control Ending Date, and thereafter to the extent necessary for the timely filing by SAP Renren of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, Qualtrics Kaixin/CM Seven Star shall cause its principal executive officer and principal financial officer to provide to SAP Renren on a timely basis and as reasonably requested by SAP Renren (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the XxxxxxxxSxxxxxxx-Xxxxx Act of 2002, as amended, 2002 to be filed with such annual and quarterly reports, (B) any certificates requested as may be necessary under German legal requirements, (C) any certificates or other written Information which such principal executive officer or principal financial officer received as support for the certificates provided to SAP Renren and (DC) a reasonable opportunity to discuss with such principal financial officer and other appropriate officers and employees of Qualtrics Kaixin/CM Seven Star any issues reasonably related to the foregoing. (ii) During the term of this Agreement and thereafter to To the extent necessary for the timely filing by Qualtrics Kaixin/CM Seven Star of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, SAP Renren shall cause its appropriate officers and employees to provide to Qualtrics Kaixin/CM Seven Star on a timely basis and as reasonably requested by Qualtrics such Party (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the XxxxxxxxSxxxxxxx-Xxxxx Act of 2002, as amended, 2002 to be filed with such annual and quarterly reports, (B) any certificates or other Information which such appropriate officers and employees received as support for the certificates provided to Qualtrics Kaixin/CM Seven Star and (C) a reasonable opportunity to discuss with such appropriate officers and employees any issues reasonably related to the foregoing.

Certifications and Attestations. (i) During Until the term of this Agreement first CreditEase fiscal year end occurring after the Control Ending Date, and thereafter to the extent necessary for the timely filing by SAP CreditEase of annual and quarterly reports under the Exchange Act or other applicable law or in connection with any investigations of prior periods, Qualtrics Yirendai shall cause its principal executive officer and principal financial officer to provide to SAP CreditEase on a timely basis and as reasonably requested by SAP CreditEase (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002, as amended, 2002 or other applicable law to be filed with such annual and quarterly reports, (B) any certificates requested as may be necessary under German legal requirements, (C) any certificates or other written Information which such principal executive officer or principal financial officer received as support for the certificates provided to SAP CreditEase and (DC) a reasonable opportunity to discuss with such principal financial officer and other appropriate officers and employees of Qualtrics Yirendai any issues reasonably related to the foregoing. (ii) During the term of this Agreement and thereafter to To the extent necessary for the timely filing by Qualtrics Yirendai of annual and quarterly reports under the Exchange Act or other applicable law or in connection with any investigations of prior periods, SAP CreditEase shall cause its appropriate officers and employees to provide to Qualtrics Yirendai on a timely basis and as reasonably requested by Qualtrics such Party (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002, as amended, 2002 or other applicable law to be filed with such annual and quarterly reports, (B) any certificates or other Information which such appropriate officers and employees received as support for the certificates provided to Qualtrics Yirendai and (C) a reasonable opportunity to discuss with such appropriate officers and employees any issues reasonably related to the foregoing.

Certifications and Attestations. (i) During Until the term of this Agreement first E-House fiscal year end occurring after the Control Ending Date, and thereafter to the extent necessary for the timely filing by SAP E-House of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, Qualtrics CRIC shall cause its principal executive officer and principal financial officer to provide to SAP E-House on a timely basis and as reasonably requested by SAP E-House (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002, as amended, 2002 to be filed with such annual and quarterly reports, (B) any certificates requested as may be necessary under German legal requirements, (C) any certificates or other written Information which such principal executive officer or principal financial officer received as support for the certificates provided to SAP E-House and (DC) a reasonable opportunity to discuss with such principal financial officer and other appropriate officers and employees of Qualtrics CRIC any issues reasonably related to the foregoing. (ii) During the term of this Agreement and thereafter to To the extent necessary for the timely filing by Qualtrics CRIC of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, SAP E-House shall cause its appropriate officers and employees to provide to Qualtrics CRIC on a timely basis and as reasonably requested by Qualtrics such Party (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002, as amended, 2002 to be filed with such annual and quarterly reports, (B) any certificates or other Information which such appropriate officers and employees received as support for the certificates provided to Qualtrics CRIC and (C) a reasonable opportunity to discuss with such appropriate officers and employees any issues reasonably related to the foregoing.

Certifications and Attestations. (i) During Until the term of this Agreement first NetEase fiscal year end occurring after the Control Ending Date, and thereafter to the extent necessary for the timely filing by SAP NetEase of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, Qualtrics Youdao shall cause its principal executive officer and principal financial officer to provide to SAP NetEase on a timely basis and as reasonably requested by SAP NetEase (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002, as amended, 2002 to be filed with such annual and quarterly reports, (B) any certificates requested as may be necessary under German legal requirements, (C) any certificates or other written Information which such principal executive officer or principal financial officer received as support for the certificates provided to SAP NetEase and (DC) a reasonable opportunity to discuss with such principal financial officer and other appropriate officers and employees of Qualtrics Youdao any issues reasonably related to the foregoing. (ii) During the term of this Agreement and thereafter to To the extent necessary for the timely filing by Qualtrics Youdao of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, SAP NetEase shall cause its appropriate officers and employees to provide to Qualtrics Youdao on a timely basis and as reasonably requested by Qualtrics such Party (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002, as amended, 2002 to be filed with such annual and quarterly reports, (B) any certificates or other Information which such appropriate officers and employees received as support for the certificates provided to Qualtrics Youdao and (C) a reasonable opportunity to discuss with such appropriate officers and employees any issues reasonably related to the foregoing.

Certifications and Attestations. (i) During Until the term of this Agreement first EMC fiscal year end occurring after the Distribution Date and thereafter to the extent necessary for the timely filing by SAP EMC of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, Qualtrics VMware shall cause its principal executive officer and principal financial officer to provide to SAP EMC on a timely basis and as reasonably requested by SAP EMC (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002, as amended, 2002 to be filed with such annual and quarterly reports, (B) any certificates requested as may be necessary under German legal requirements, (C) any certificates or other written Information which such principal executive officer or principal financial officer received as support for the certificates provided to SAP EMC and (DC) a reasonable opportunity to discuss with such principal financial officer and other appropriate officers and employees of Qualtrics VMware any issues reasonably related to the foregoing. (ii) During For so long as EMC is providing accounting and financial services pursuant to the term of this Administrative Services Agreement and thereafter to the extent necessary for the timely filing by Qualtrics VMware of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, SAP EMC shall cause its appropriate officers and employees to provide to Qualtrics VMware on a timely basis and as reasonably requested by Qualtrics VMware (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002, as amended, 2002 to be filed with such annual and quarterly reports, (B) any certificates or other Information which such appropriate officers and employees received as support for the certificates provided to Qualtrics VMware and (C) a reasonable opportunity to discuss with such appropriate officers and employees any issues reasonably related to the foregoing.

(i) During Until the term of this Agreement first Dell Technologies fiscal year end occurring after the Distribution Date and thereafter to the extent necessary for the timely filing by SAP Dell Technologies of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, Qualtrics VMware shall cause its principal executive officer and principal financial officer to provide to SAP Dell Technologies on a timely basis and as reasonably requested by SAP Dell Technologies (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002, as amended, to be filed with such annual and quarterly reports, (B) any certificates requested as may be necessary under German legal requirements, (C) any certificates or other written Information which such principal executive officer or principal financial officer received as support for the certificates provided to SAP Dell Technologies and (DC) a reasonable opportunity to discuss with such principal financial officer and other appropriate officers and employees of Qualtrics VMware any issues reasonably related to the foregoing. (ii) During the term of this Agreement and thereafter to To the extent necessary for the timely filing by Qualtrics VMware of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, SAP Dell Technologies shall cause its appropriate officers and employees to provide to Qualtrics VMware on a timely basis and as reasonably requested by Qualtrics VMware (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002, as amended, to be filed with such annual and quarterly reports, (B) any certificates or other Information which such appropriate officers and employees received as support for the certificates provided to Qualtrics VMware and (C) a reasonable opportunity to discuss with such appropriate officers and employees any issues reasonably related to the foregoing.

Certifications and Attestations. (i) During For so long as Intel is providing accounting and financial services pursuant to the term of this Administrative Services Agreement and thereafter to the extent necessary for the timely filing by SAP Intel of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, Qualtrics Mobileye shall cause its principal executive officer and principal financial officer to provide to SAP Intel on a timely basis and as reasonably requested by SAP Intel (A) any certificates requested as support ​ for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002 to be filed with such annual and quarterly reports, (B) any certificates or other written Information which such principal executive officer or principal financial officer received as support for the certificates provided to Intel and (C) a reasonable opportunity to discuss with such principal financial officer and other appropriate officers and employees of Mobileye any issues reasonably related to the foregoing. (ii) For so long as Intel is providing accounting and financial services pursuant to the Administrative Services Agreement and thereafter to the extent necessary for the timely filing by Mobileye of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, Intel shall cause its appropriate officers and employees to provide to Mobileye on a timely basis and as reasonably requested by Mobileye (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002, as amended, to be filed with such annual and quarterly reports, (B) any certificates requested as may be necessary under German legal requirements, (C) any certificates or other written Information which such principal executive officer or principal financial officer received as support for the certificates provided to SAP and (D) a reasonable opportunity to discuss with such principal financial officer and other appropriate officers and employees of Qualtrics any issues reasonably related to the foregoing. (ii) During the term of this Agreement and thereafter to the extent necessary for the timely filing by Qualtrics of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, SAP shall cause its appropriate officers and employees to provide to Qualtrics on a timely basis and as reasonably requested by Qualtrics (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002, as amended, 2002 to be filed with such annual and quarterly reports, (B) any certificates or other Information which such appropriate officers and employees received as support for the certificates provided to Qualtrics Mobileye and (C) a reasonable opportunity to discuss with such appropriate officers and employees any issues reasonably related to the foregoing.

Certifications and Attestations. (i) During Until the term of this Agreement first Dell Technologies fiscal year end occurring after the Distribution Date, and thereafter to the extent necessary for the timely filing by SAP Dell Technologies of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, Qualtrics Pivotal shall cause its principal executive officer and principal financial officer to provide to SAP Dell Technologies on a timely basis and as reasonably requested by SAP Dell Technologies (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002, as amended, to be filed with such annual and quarterly reports, (B) any certificates requested as may be necessary under German legal requirements, (C) any certificates or other written Information which such principal executive officer or principal financial officer received as support for the certificates provided to SAP Dell Technologies and (DC) a reasonable opportunity to discuss with such principal financial officer and other appropriate officers and employees of Qualtrics Pivotal any issues reasonably related to the foregoing. (ii) During Until the term of this Agreement first Pivotal fiscal year end occurring after the Distribution Date, and thereafter to the extent necessary for the timely filing by Qualtrics Pivotal of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, SAP Dell Technologies shall cause its appropriate officers and employees to provide to Qualtrics Pivotal on a timely basis and as reasonably requested by Qualtrics Pivotal (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002, as amended, to be filed with such annual and quarterly reports, (B) any certificates or other Information which such appropriate officers and employees received as support for the certificates provided to Qualtrics Pivotal and (C) a reasonable opportunity to discuss with such appropriate officers and employees any issues reasonably related to the foregoing.

Certifications and Attestations. (i) During Until the term first UOL fiscal year end occurring after the UOL Group is no longer required to account for its investment in CMC on a consolidated basis or under the equity method of this Agreement accounting (determined in accordance with GAAP consistently applied after consultation with the Auditors), and thereafter to the extent necessary for the timely filing by SAP UOL of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, Qualtrics CMC shall cause its principal executive officer and principal financial officer to provide to SAP UOL on a timely basis and as reasonably requested by SAP UOL (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002, as amended, 2002 to be filed with such annual and quarterly reports, (B) any certificates requested as may be necessary under German legal requirements, (C) any certificates or other written Information which such principal executive officer or principal financial officer received as support for the certificates provided to SAP UOL and (DC) a reasonable opportunity to discuss with such principal financial officer and other appropriate officers and employees of Qualtrics CMC any issues reasonably related to the foregoing. (ii) During For so long as UOL is providing accounting and financial services pursuant to the term of this Agreement Administrative Services Agreement, and thereafter to the extent necessary for the timely filing by Qualtrics CMC of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, SAP UOL shall cause its appropriate officers and employees to provide to Qualtrics CMC on a timely basis and as reasonably requested by Qualtrics CMC (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002, as amended, 2002 to be filed with such annual and quarterly reports, (B) any certificates or other Information which such appropriate officers and employees received as support for the certificates provided to Qualtrics CMC and (C) a reasonable opportunity to discuss with such appropriate officers and employees any issues reasonably related to the foregoing.

Certifications and Attestations. (i) During For so long as Intel is providing accounting and financial services pursuant to the term of this Administrative Services Agreement and thereafter to the extent necessary for the timely filing by SAP Intel of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, Qualtrics Mobileye shall cause its principal executive officer and principal financial officer to provide to SAP Intel on a timely basis and as reasonably requested by SAP Intel (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the XxxxxxxxSxxxxxxx-Xxxxx Act of 2002, as amended, 2002 to be filed with such annual and quarterly reports, (B) any certificates requested as may be necessary under German legal requirements, (C) any certificates or other written Information which such principal executive officer or principal financial officer received as support for the certificates provided to SAP Intel and (DC) a reasonable opportunity to discuss with such principal financial officer and other appropriate officers and employees of Qualtrics Mobileye any issues reasonably related to the foregoing. (ii) During For so long as Intel is providing accounting and financial services pursuant to the term of this Administrative Services Agreement and thereafter to the extent necessary for the timely filing by Qualtrics Mobileye of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, SAP Intel shall cause its appropriate officers and employees to provide to Qualtrics Mobileye on a timely basis and as reasonably requested by Qualtrics Mobileye (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the XxxxxxxxSxxxxxxx-Xxxxx Act of 2002, as amended, 2002 to be filed with such annual and quarterly reports, (B) any certificates or other Information which such appropriate officers and employees received as support for the certificates provided to Qualtrics Mobileye and (C) a reasonable opportunity to discuss with such appropriate officers and employees any issues reasonably related to the foregoing.

(i) During the term of this Agreement and thereafter to To the extent necessary for the timely filing by SAP FAT Brands of annual and quarterly reports under the Exchange Act Act, or in connection with any investigations of prior periods, Qualtrics Twin Hospitality shall cause its principal executive officer and principal financial officer to provide to SAP FAT Brands, on a timely basis and as reasonably requested by SAP FAT Brands, (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the XxxxxxxxSxxxxxxx-Xxxxx Act of 2002, as amendedamended (the “SOX Act”), to be filed with such annual and quarterly reports, (B) any certificates requested as may be necessary under German legal requirements, (C) any certificates or other written Information which such principal executive officer or principal financial officer received or relied on as support for the certificates provided to SAP FAT Brands pursuant to the immediately preceding clause (A), and (DC) a reasonable opportunity to discuss with such principal executive officer and principal financial officer and other appropriate officers and employees of Qualtrics any issues reasonably related to the foregoing. (ii) During the term of this Agreement and thereafter to To the extent necessary for the timely filing by Qualtrics Twin Hospitality of annual and quarterly reports under the Exchange Act Act, or in connection with any investigations of prior periods, SAP FAT Brands shall cause its appropriate officers principal executive officer and employees principal financial officer to provide to Qualtrics Twin Hospitality, on a timely basis and as reasonably requested by Qualtrics Twin Hospitality, (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx SOX Act of 2002, as amended, to be filed with such annual and quarterly reports, (B) any certificates or other written Information which such appropriate officers and employees principal executive officer or principal financial officer received or relied on as support for the certificates provided to Qualtrics Twin Hospitality pursuant to the immediately preceding clause (A), and (C) a reasonable opportunity to discuss with such appropriate officers principal executive officer and employees principal financial officer any issues reasonably related to the foregoing.
