Certifications and Attestations. ServiceNow shall establish and maintain sufficient controls to meet the objectives stated in ISO 27001, ISO 27018, SSAE 18 / SOC 1 and SOC 2 Type 2 (or equivalent standards) (collectively, the “Standards”) for the information security management system supporting the Subscription Service. At least once per calendar year, ServiceNow shall obtain an assessment against such Standards by an independent third-party auditor.
Certifications and Attestations. (i) Until the first E-House fiscal year end occurring after the Control Ending Date, and thereafter to the extent necessary for the timely filing by E-House of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, Leju shall cause its principal executive officer and principal financial officer to provide to E-House on a timely basis and as reasonably requested by E-House (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002 to be filed with such annual and quarterly reports, (B) any certificates or other written Information which such principal executive officer or principal financial officer received as support for the certificates provided to E-House and (C) a reasonable opportunity to discuss with such principal financial officer and other appropriate officers and employees of Leju any issues reasonably related to the foregoing.
Certifications and Attestations. MobiChord shall establish and maintain sufficient controls to meet the objectives stated in ISO 27001 and SSAE 16 / SOC 1 and SOC 2 Type 2 (or equivalent standards) (collectively, the “Standards”) for the information security management system supporting the Subscription Service. At least once per calendar year, MobiChord shall perform an assessment against such Standards (“Assessment”). Upon Customer’s written request, which shall be no more than once per calendar year, MobiChord shall provide a summary of the Assessment(s) to Customer. Assessments shall be Confidential Information of MobiChord.
Certifications and Attestations. (i) During the term of this Agreement and thereafter to the extent necessary for the timely filing by SAP of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, Qualtrics shall cause its principal executive officer and principal financial officer to provide to SAP on a timely basis and as reasonably requested by SAP (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002, as amended, to be filed with such annual and quarterly reports, (B) any certificates requested as may be necessary under German legal requirements, (C) any certificates or other written Information which such principal executive officer or principal financial officer received as support for the certificates provided to SAP and (D) a reasonable opportunity to discuss with such principal financial officer and other appropriate officers and employees of Qualtrics any issues reasonably related to the foregoing.
Certifications and Attestations. (i) Until the first SINA fiscal year end occurring after the Control Ending Date, and thereafter to the extent necessary for the timely filing by SINA of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, Weibo shall cause its principal executive officer and principal financial officer to provide to SINA on a timely basis and as reasonably requested by SINA (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002 to be filed with such annual and quarterly reports, (B) any certificates or other written Information which such principal executive officer or principal financial officer received as support for the certificates provided to SINA and (C) a reasonable opportunity to discuss with such principal financial officer and other appropriate officers and employees of Weibo any issues reasonably related to the foregoing.
Certifications and Attestations. (i) Until the first NetEase fiscal year end occurring after the Control Ending Date, and thereafter to the extent necessary for the timely filing by NetEase of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, Youdao shall cause its principal executive officer and principal financial officer to provide to NetEase on a timely basis and as reasonably requested by NetEase (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002 to be filed with such annual and quarterly reports, (B) any certificates or other written Information which such principal executive officer or principal financial officer received as support for the certificates provided to NetEase and (C) a reasonable opportunity to discuss with such principal financial officer and other appropriate officers and employees of Youdao any issues reasonably related to the foregoing.
Certifications and Attestations. (i) Until the first Compuware fiscal year end occurring after the Distribution Date and thereafter to the extent necessary for the timely filing by Compuware of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, Covisint shall cause its principal executive officer and principal financial officer to provide to Compuware on a timely basis and as reasonably requested by Compuware (A) any certificates requested as support for the certifications and attestations required by sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002 to be filed with such annual and quarterly reports, (B) any certificates or other written Information which such principal executive officer or principal financial officer received as support for the certificates provided to Compuware and (C) a reasonable opportunity to discuss with such principal financial officer and other appropriate officers and employees of Covisint any issues reasonably related to the foregoing.
Certifications and Attestations. (i) Until the first fiscal year end for Renren occurring after the Control Ending Date, and thereafter to the extent necessary for the timely filing by Renren of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, Kaixin/CM Seven Star shall cause its principal executive officer and principal financial officer to provide to Renren on a timely basis and as reasonably requested by Renren (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Sxxxxxxx-Xxxxx Act of 2002 to be filed with such annual and quarterly reports, (B) any certificates or other written Information which such principal executive officer or principal financial officer received as support for the certificates provided to Renren and (C) a reasonable opportunity to discuss with such principal financial officer and other appropriate officers and employees of Kaixin/CM Seven Star any issues reasonably related to the foregoing.
Certifications and Attestations. (i) Until the first CreditEase fiscal year end occurring after the Control Ending Date, and thereafter to the extent necessary for the timely filing by CreditEase of annual and quarterly reports under the Exchange Act or other applicable law or in connection with any investigations of prior periods, Yirendai shall cause its principal executive officer and principal financial officer to provide to CreditEase on a timely basis and as reasonably requested by CreditEase (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002 or other applicable law to be filed with such annual and quarterly reports, (B) any certificates or other written Information which such principal executive officer or principal financial officer received as support for the certificates provided to CreditEase and (C) a reasonable opportunity to discuss with such principal financial officer and other appropriate officers and employees of Yirendai any issues reasonably related to the foregoing.
Certifications and Attestations. (i) Until the first Sohu fiscal year end occurring after members of the Sohu Group no longer collectively own at least a majority of the voting power of the then outstanding securities of Changyou, and thereafter to the extent necessary for the timely filing by Sohu of annual and quarterly reports under the Exchange Act or in connection with any investigations of prior periods, Changyou shall cause its principal executive officer and principal financial officer to provide to Sohu on a timely basis and as reasonably requested by Sohu (A) any certificates requested as support for the certifications and attestations required by Sections 302, 906 and 404 of the Xxxxxxxx-Xxxxx Act of 2002 to be filed with such annual and quarterly reports, (B) any certificates or other written Information which such principal executive officer or principal financial officer received as support for the certificates provided to Sohu and (C) a reasonable opportunity to discuss with such principal financial officer and other appropriate officers and employees of such Party any issues reasonably related to the foregoing.
