Common use of CFO Certificate Clause in Contracts

CFO Certificate. The Underwriters shall have received a certificate, dated the date of this Agreement and dated such Closing Date, of the Chief Financial Officer of the Company, satisfactory to the Underwriters, as to the accuracy of certain data contained in the General Disclosure Package and the Final Prospectus, respectively.

CFO Certificate. CFO Certificate. The Underwriters shall have received a certificatecertificates, dated dated, respectively, the date of this Agreement hereof and dated such each Closing Date, of the Chief Financial Officer chief financial officer of the Company, satisfactory to the Underwriters, as to Company confirming the accuracy of certain data contained financial and other information included in the General Disclosure Package preliminary prospectus supplement, dated February 11, 2021 and the Final Prospectus, respectivelyin form and substance reasonably satisfactory to the Underwriters.

The Underwriters Underwriter shall have received a certificate, dated on and as of the date of this Agreement and dated such Closing Date, a certificate of the Chief Financial Officer chief financial officer of the Company, satisfactory to the Underwriters, as to the accuracy of certain data contained Company in the General form attached hereto as Annex D with respect to certain financial numbers and amounts included in the Registration Statement, Pricing Disclosure Package and the Final Prospectus, respectively.

The On the date hereof and at the Closing Time, the Underwriters shall have received a certificate, dated such date and signed by the date of this Agreement and dated such Closing Date, of the Chief Financial Officer chief financial officer of the Company, satisfactory substantially in the form agreed to between counsel for the Company and counsel for the Underwriters prior to the Underwriters, as to the accuracy of certain data contained in the General Disclosure Package and the Final Prospectus, respectivelydate hereof.

CFO Certificate. The On the date hereof and on the Closing Date, the Underwriters shall have received a certificate, dated the date of this Agreement and dated such Closing Date, certificate of the Company’s Chief Financial Officer of the Company, satisfactory with respect to the Underwriters, as to the accuracy of certain financial data contained in the General Registration Statement, the Pricing Disclosure Package and the Final Prospectus, respectivelyproviding “management comfort” with respect to such information, in form and substance reasonably satisfactory to the Representative.

CFO Certificate. The Underwriters Underwriter shall have received on the Closing Date a certificate, dated the date of this Agreement Closing Date and dated such Closing Date, of signed by the Chief Financial Officer chief financial officer of the Company, satisfactory with respect to the Underwriters, as to the accuracy of certain operating data contained in the General Disclosure Package and the Final Prospectus, respectivelyProspectus and negative assurance on certain line items in the Company’s results of operations in form and substance satisfactory to the Representatives.

CFO Certificate. The Underwriters At the time this Agreement is executed, the Underwriter shall have received a certificate, dated the date of this Agreement and dated such Closing Date, of certificate from the Chief Financial Officer of the CompanyCompany (the “CFO Certificate”) containing statements and information of the type customarily included in certificates with respect to certain business, satisfactory to the Underwriters, as to the accuracy of certain data financial and other information contained in the General Registration Statement, the Pricing Disclosure Package and the Final Prospectus, respectivelyaddressed to the Underwriter and in form and substance satisfactory in all respects to the Underwriter and Underwriter’s Counsel and to the Auditor, dated as of the date of this Agreement.

CFO Certificate. The At the time of the execution of this Agreement and on the Closing Date, the Underwriters shall have received a certificate, dated the date of this Agreement and dated such Closing Date, certificate of the Chief Financial Officer of the Company, dated the date of this Agreement and the Closing Date, in form and substance reasonably satisfactory to counsel for the Underwriters, as to certifying certain financial information of the accuracy of certain data contained Company included or incorporated by reference in the General Registration Statement, the Disclosure Package Package, the Prospectus and the Final Prospectus, respectivelyInvestor Presentation.

The Underwriters shall have received a certificate, dated on the date hereof, and at the Closing Time, a certificate addressed to the Underwriters and as of this Agreement and dated such Closing Datedates, of the Mxxxxxx X. Xxxxxxxxx, Executive Vice President and Chief Financial Officer of the Company, satisfactory to the Underwriterscovering certain financial and accounting information in Registration Statement, as to the accuracy of certain data contained in the General Disclosure Package and the Final Prospectus, respectively, in form and substance reasonably satisfactory to the Representatives.

CFO Certificate. The Underwriters Underwriter shall have received a certificate, dated on and as of (i) the date of this Agreement and dated such (ii) the Closing DateDate a certificate, of signed by the Chief Financial Officer of the Company, satisfactory to the Underwriters, as to the accuracy of certain data contained Company and in the General Disclosure Package and form attached as Exhibit D hereto, with respect to certain financial information included in the Final Prospectus, respectively.
