Change in Board; Officers. On the day after the tenth day following the filing of the Information Statement with the SEC and the mailing of the same to Company stockholders or such later date as determined by Red Mountain (the “Change of Control Date”), simultaneous with the dismissal of the Action, the Departing Directors shall resign from the Board and, immediately after such resignation, the remaining directors shall appoint Axxx X. Xxxxxxxxx, Pxxx X. Xxxxxxxxxx and Rxxxxxx X. Xxxx to fill such vacancies on the Board. Additionally, the Board shall appoint officers of the Company on such date following the Change of Control Date as determined by the newly constituted Board which shall be no later than May 31, 2012 (the “Change of Officer Date”).

Change in Board; Officers. As soon as practicable after the tenth day following the filing of the Information Statement with the SEC and the mailing of the same to Company stockholders (or such later date as selected by the Purchaser within 30 days of such filing), Rice shall resign from the Board of Directors of the Company and, immediately after such resignation, the Board of the Company shall be comprised of a number of members set by the remaining director, all of whom shall be nominated by Purchaser. The date on which the Board of Directors is changed as described in this Section 5.2 shall be referred to as the “Change in Control Date.” At the Change of Control Date, Rice shall resign as a member of the Board of Directors (as constituted after giving effect to this Section 5.2) and the Board shall appoint the designees determined by the Purchaser as the officers of the Company.

Pursuant to the Amended Pubco Charter as in effect as of the Closing, the Post-Closing Pubco Board will be a classified board with two classes of directors, with (I) one class of directors, consisting of two Company Directors designated by the Company and the Independent Director (collectively, the “Class I Directors”), initially serving a one (1) year term, such term effective from the Closing (and any subsequent Class I Directors serving a two (2) year term), and (II) a second class of directors, consisting of two Company Directors designated by the Company and the Purchaser Directors (collectively, the “Class II Directors”), initially serving a two (2) year term, such term effective from the Closing (and any subsequent Class II Directors serving a two (2) year term). In accordance with the Pubco Charter as in effect at the Closing, no director on the Post-Closing Pubco Board may be removed without cause. At or prior to the Closing, Pubco will provide each Purchaser Director, Company Director and the Independent Director with a customary director indemnification agreement, in form and substance reasonably acceptable to such Purchaser Director, Company Director or Independent Director.

  • The Board of Directors Trustees of the Fund shall promptly notify the Company in writing of its determination of the existence of an irreconcilable material conflict and its implications.
