Common use of Change in Expedia Search Functionality Clause in Contracts

Change in Expedia Search Functionality. Microsoft shall consult with WORLDSPAN on a regular basis regarding proposed changes to the search functionality, or changes to the utilization of existing functionality, available to end users of Expedia that are reasonably expected to have a materially adverse impact on message weight in the WORLDSPAN CRS. If the proposed change has a materially adverse impact on the financial benefits of the parties hereunder, the parties shall discuss in good faith a corresponding adjustment to pricing or revenue share. If the parties are unable to reach agreement within two (2) months after Microsoft implements such change, then WORLDSPAN may terminate this Agreement upon a further six (6) months' written notice. Such termination right expires eight (8) months from the date of Microsoft's implementation of such changes.
