Common use of Change of Control Adjustment Clause in Contracts

Change of Control Adjustment. If Executive is terminated by the Corporation without Cause or if Executive terminates his employment for Good Reason, and such termination occurs within six (6) months before or one (1) year after the effective date of a Change of Control, the amounts described in Section 2.7(a)(ii)(B)–(C) shall be increased by a factor of one hundred percent (100%) (for a total of 200% of Salary and Average Bonus).
