Common use of Change of Control of Customer Clause in Contracts

Change of Control of Customer. The sale or transfer of any shares of its capital stock or of any ownership interest in Customer to any person, persons, entity, or entities (whether in one single transaction or in multiple transactions) that results in a transfer of a majority interest in the ownership and/or the control of Customer from the person, persons, entity, or entities who hold ownership and/or control of Customer as of the date of this Agreement, or any consolidation or merger of Customer into or with any person or entity, shall be deemed an assignment of this Agreement requiring consent as set forth in Section 18(b).
