CHANGE OF CONTROL TERMINATION RIGHT. For a period of two (2) years following a Change of Control, the Executive shall have the right, at any time, to terminate employment with the Company for Good Reason. Such termination shall be accomplished by, and effective upon, the Executive giving written notice to the Company of the Executive's decision to terminate. Except as otherwise expressly provided in this Agreement, upon the exercise of said right, all obligations and duties of the Executive under this Agreement shall be of no further force and effect.
