Changed Requirements and Conditions Imposed on Producer. During the Term and any extension thereof, the requirements and conditions, including new or amended recycled water orders, may be changed or imposed on Producer by the Regional Board, or any other department, authority, or agency having legal jurisdiction over Producer, which may cause Producer to change the terms and conditions of this Agreement regarding the purchase and usage of recycled water by User. User, except as otherwise provided in this paragraph, agrees to such changes, and agrees that Producer shall be held harmless from any liabilities arising from such changes. Producer agrees to make its best efforts to minimize the impact on User of such changed requirements and conditions, and notify User in a timely manner of such changed requirements and conditions. If, however, any such changes result in the inability of User to use the recycled water for vineyard irrigation, User shall have the option, upon 120 days written notice to Producer, to terminate this Agreement. If the Order is revoked by the Regional Board, Producer agrees to use its best efforts to reinstate the Order. If such reinstatement is denied, this Agreement shall terminate on the date identified in Producer’s written notice of termination.

If, however, any such changes result in the inability of User to use the reclaimed water for vineyard irrigation, User shall have the option, upon 120 days written notice to Producer, to terminate this Agreement. If the Order is revoked, Producer agrees to use its best efforts to reinstate the Order. If such reinstatement is denied, this Agreement shall terminate.

  • Minimum Site Requirements for TIPS Sales (when applicable to TIPS Sale). Cleanup: When performing work on site at a TIPS Member’s property, Vendor shall clean up and remove all debris and rubbish resulting from their work as required or directed by the TIPS Member or as agreed by the parties. Upon completion of work, the premises shall be left in good repair and an orderly, neat, clean and unobstructed condition. Preparation: Vendor shall not begin a project for which a TIPS Member has not prepared the site, unless Vendor does the preparation work at no cost, or until TIPS Member includes the cost of site preparation in the TIPS Sale Site preparation includes, but is not limited to: moving furniture, installing wiring for networks or power, and similar pre‐installation requirements. Registered Sex Offender Restrictions: For work to be performed at schools, Vendor agrees that no employee of Vendor or a subcontractor who has been adjudicated to be a registered sex offender will perform work at any time when students are, or reasonably expected to be, present unless otherwise agreed by the TIPS Member. Vendor agrees that a violation of this condition shall be considered a material breach and may result in the cancellation of the TIPS Sale at the TIPS Member’s discretion. Vendor must identify any additional costs associated with compliance of this term. If no costs are specified, compliance with this term will be provided at no additional charge. Safety Measures: Vendor shall take all reasonable precautions for the safety of employees on the worksite, and shall erect and properly maintain all necessary safeguards for protection of workers and the public. Vendor shall post warning signs against all hazards created by the operation and work in progress. Proper precautions shall be taken pursuant to state law and standard practices to protect workers, general public and existing structures from injury or damage. Smoking: Persons working under Agreement shall adhere to the TIPS Member’s or local smoking statutes, codes, ordinances, and policies.

  • – OTHER SPECIAL CONDITIONS The following additional special conditions apply to this agreement:

  • Additional Licensing Requirements and or Use Rights a. Multiplexing. Multiplexing (sometimes referred to as “pooling”) is a manner of indirect hardware or software access (“indirect access”) that • pools connections, • reroutes information, • reduces the number of users that directly access or use the software, or • reduces the number of users the software directly manages. Any user accessing the ERP Solution through a multiplexed connection must be appropriately licensed with an Access License.

  • Seller’s Conditions The obligations of Seller at the Closing are subject, at the option of Seller, to the satisfaction or waiver at or prior to the Closing of the following conditions precedent:
