Charging Clause. The Chargor as beneficial owner and as a continuing security for the payment, performance and discharge of the Secured Obligations hereby: (a) mortgages, by way of equitable mortgage, and charges and agrees to mortgage and charge to the Chargee all of the Charged Shares; and (b) mortgages, by way of equitable mortgage, charges and assigns and agrees to mortgage, charge and assign to the Chargee all Related Assets accruing to all or any of the Charged Shares.
