Charter Documents; Minute Books. The Restated Certificate and Bylaws of the Company are in the form provided to counsel for the Investors. The minute books of the Company provided to the Investors contain a complete summary of all meetings of directors and stockholders since the time of incorporation and reflect all transactions referred to in such minutes accurately in all material respects.

Charter Documents; Minute Books. The Company has delivered or made available to HBC a correct and complete copy of the Charter Documents of the Company, as amended and currently in effect. The Company is not in violation of any of the provisions of its respective Charter Documents. The minute books of the Company and its Subsidiaries contain complete and correct Records of all meetings held by and actions taken by written consent of the holders of voting securities, the board of directors or persons exercising similar authority, and committees of the board of directors or such persons of the Company and its Subsidiaries, as applicable, and no meeting of any such holders, board of directors, persons, or committee has been held, and no other action has been taken, for which minutes or other evidence of action have not been prepared and are not contained in such minute books. The Company and each of its Subsidiaries have at all times maintained complete and correct Records of all issuances and transfers of its securities. At the Closing, all such minute books and Records will be in the possession of the Company.
