Common use of Chief Financial Officer Certificate Clause in Contracts

Chief Financial Officer Certificate. On the date of this Agreement and at the Closing Time, as the case may be, the Company shall have furnished to the Representatives a certificate, dated the respective dates of delivery thereof and addressed to the Underwriters, of its chief financial officer with respect to certain financial data contained in the General Disclosure Package and the Prospectus, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the Representatives.

Chief Financial Officer Certificate. On the date of this Agreement and at on the Closing TimeDate or the Additional Closing Date, as the case may be, the Company shall have furnished to the Representatives a certificate, dated the respective dates of delivery thereof and addressed to the Underwriters, of its chief financial officer with respect to certain financial data contained in the General Pricing Disclosure Package and the Prospectus, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the Representatives.

Chief Financial Officer Certificate. On the date At each of this Agreement and at the Closing Time, as the case may beDate and any Option Closing Date, the Company Representatives shall have furnished to received a certificate of the Representatives a certificateCompany signed by the Chief Financial Officer of the Company, dated the respective dates of delivery thereof Closing Date and addressed to Option Closing Date (if such date is other than the UnderwritersClosing Date), of its chief financial officer with respect to certain financial data information contained in the Registration Statement, the Preliminary Prospectus, General Disclosure Package Package, and the Prospectus, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the Representatives.

Chief Financial Officer Certificate. On the date of this Agreement and at the Closing TimeDate or any Option Closing Date, as the case may be, the Company shall have furnished to the Representatives Representative a certificatecertificate of the Company’s Chief Financial Officer, dated the respective dates of their delivery thereof and signed by the Chief Financial Officer and addressed to the UnderwritersRepresentative, of its chief financial officer with respect to certain operating and financial data contained in each of the Registration Statement, the General Disclosure Package and the Prospectus, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the RepresentativesRepresentative and substantially similar to the form attached as Exhibit E hereto.

On the date of this Agreement and at on the Closing TimeDate or the Additional Closing Date, as the case may be, the Company shall have furnished to the Representatives Representative a certificate, dated the respective dates of delivery thereof and addressed to the Underwriters, of its chief financial officer with respect to certain financial data contained in the General Pricing Disclosure Package and the Prospectus, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the RepresentativesRepresentative.

On the date of this Agreement and at on the Closing TimeDate, as the case may be, Chief Financial Officer of the Company shall have furnished to the Representatives Representative, a certificate, dated the respective dates of delivery thereof and addressed to the Underwriters, of its chief financial officer with respect to certain financial data contained in the General Disclosure Package and the Prospectus, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the RepresentativesRepresentative, with respect to the financial statements and certain financial information contained or incorporated by reference in the Registration Statement, the Pricing Disclosure Package and the Prospectus.

On the date of this Agreement and at the Closing Time and the Additional Closing Time, as the case may be, the Company shall have furnished to the Representatives a certificate, dated the respective dates of delivery thereof and addressed to the Underwriters, of its chief financial officer with respect to certain financial data contained in the General Disclosure Package and the Prospectus, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the Representatives.

On the date of this Agreement and at on the Closing TimeDate or the Additional Closing Date, as the case may be, the Company Manager shall have furnished to the Representatives a certificate, dated the respective dates of delivery thereof and addressed to the Underwriters, of its chief financial officer with respect to certain financial data contained in the General Pricing Disclosure Package and the Prospectus, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the Representatives.

Chief Financial Officer Certificate. On the date hereof and on each of this Agreement the First Closing Date and at the each Option Closing Time, as the case may beDate, the Company Representatives shall have furnished to received from the Representatives Chief Financial Officer of the Company a certificate, dated the respective dates of delivery thereof and addressed to the Underwriters, of its chief financial officer with respect to certain financial data contained certificate in the General Disclosure Package and the Prospectus, providing “management comfort” with respect to such information, in a form and substance reasonably satisfactory to the RepresentativesRepresentatives covering the accuracy of certain financial information set forth in the Registration Statement, the Time of Sale Prospectus and the Prospectus.

On At the date of this Agreement and at the Closing Time, the Representatives shall have received a certificate dated the date of this Agreement or the Closing Time, as the case may be, in form and substance satisfactory to the Underwriters and signed on behalf of the Company shall have furnished to by the Representatives a certificateSenior Vice President and Chief Financial Officer of the Company, dated the respective dates of delivery thereof and addressed to the Underwriters, of its chief financial officer with respect to certain financial data information contained in the General Disclosure Package Preliminary Prospectus and the Prospectus, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the Representatives.

On the date of this Agreement and at the on each Closing TimeDate, as the case may be, the Company shall have furnished to the Representatives a certificate, dated the respective dates of delivery thereof and addressed to the Underwritersthereof, of its chief financial officer Chief Financial Officer with respect to certain financial data contained in the General Disclosure Package and the Prospectus, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the Representatives.

On the date of this Agreement and at the Closing Time, as the case may be, the Company shall have furnished to the Representatives Underwriter a certificatecertificate of the Company, signed by its chief financial officer, substantially in the form of Exhibit D hereto, dated the respective dates of delivery thereof and addressed to the Underwriters, of its chief financial officer with respect to certain financial data contained in the General Disclosure Package and the Prospectus, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the Representativesthereof.

Chief Financial Officer Certificate. On the date of this Agreement hereof and at on the Closing TimeDate or the Option Closing Date, as the case may be, the Company shall have furnished to the Representatives Representative a certificatecertificate of its Chief Financial Officer, dated as of the respective dates date of delivery thereof and addressed to the Underwritersdelivery, of its chief financial providing officer comfort with respect to certain financial data information contained or incorporated by reference in the Registration Statement, the General Disclosure Package and the Prospectus, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to acceptable the RepresentativesRepresentative.
