Common use of Chief Financial Officer Certificate Clause in Contracts

Chief Financial Officer Certificate. The Representatives shall have received on the date hereof and as of the Closing Date or the Additional Closing Date, as the case may be, a certificate of the Company’s Chief Financial Officer, on behalf of the Company for itself and as sole member of the general partner of the Operating Partnership, substantially in the form attached as Annex D hereto.

Chief Financial Officer Certificate. The Representatives shall have received on the date hereof and as of the Closing Date or the Additional Closing Date, as the case may be, a certificate of the Company’s Chief Financial Officer, on behalf of the Company for itself and as sole member of the general partner of the Operating Partnership, substantially in the form attached as Annex D E hereto.

The Representatives shall have received on the date hereof and as of on the Closing Date or the Additional Closing Date, as the case may be, a certificate of the chief financial officer of the Company’s Chief Financial Officer, in his capacity as an officer of the Company on behalf of the Company for itself and as sole member of the general partner of the Operating Partnershipnot in his individual capacity, substantially in the form attached as Annex D heretoagreed with the Representatives.

Chief Financial Officer Certificate. The Representatives Representative shall have received on a certificate, dated the date hereof of this Agreement and as of the Closing Date or the Additional Closing Date, as the case may be, a certificate of the Company’s Chief Financial Officer, on behalf Officer of the Company for itself and as sole member of the general partner of the Operating Partnership(solely in his or her official capacity), substantially in the form attached as Annex D heretoset forth in Schedule 4 to this Agreement.
