Citi noteikumi. The Agreement and License shall enter into force if the Customer has made payment in the manner and amount specified in the Agreement and has electronically confirmed this Agreement on the Platform, unless the Parties have agreed on other procedures. If the Customer has made payment in the manner and amount specified in the Agreement, but has not electronically confirmed this Agreement on the Platform, the Agreement is not considered valid. 7.1. Any such modifications that would affect the Organisation’s ongoing obligations shall be provided to the Organisation in writing at least ninety (90) days before they become effective. If the Organisation objects to any of the changes, the Organisation has the right to terminate the Agreement by giving Preferred by Nature thirty (30) days written notice. Visas izmaiņas, kas varētu ietekmēt Uzņēmuma pastāvošās saistības, rakstiski jāiesniedz Uzņēmumam vismaz deviņdesmit (90) dienas pirms to stāšanās spēkā. Ja Uzņēmums iebilst pret kādām izmaiņām, Uzņēmumam ir tiesības izbeigt Līgumu, trīsdesmit (30) dienas iepriekš rakstiski paziņojot par to Preferred by Nature. Jebkādi citi šī Līguma grozījumi ir spēkā tikai pēc abu Pušu parakstītas vienošanās.
Citi noteikumi. 12.1. Aizdevuma līgums ir noslēgts elektroniskā formā atbilstoši Aizdevuma līgumā noteiktajai kārtībai, un tas ir derīgs bez pušu parakstiem. Aizdevējs nosūta Aizņēmējam Aizdevuma līgumu, Grafiku un ar tiem saistītos grozījumus elektroniski uz Lietotāja kontu un/vai e-pasta adresi 5 (piecu) dienu laikā pēc Aizdevuma līguma vai vienošanās par Xxxxxxxxx līguma grozīšanu noslēgšanas. Aizdevējs pēc Aizņēmēja rakstveida pieprasījuma nosūta Aizdevuma līgumu, Grafiku un ar tiem saistītos grozījumus uz Aizņēmēja norādīto deklarēto un/vai faktisko dzīvesvietas adresi. Ja Aizņēmējs 3 (trīs) darba dienu laikā no pēdējās dienas, kad Xxxxxxxxxx bija jānosūta Aizdevuma līgums, Grafiks un ar tiem saistītie grozījumi, nav vērsies pie Aizdevēja ar rakstveida lūgumu izsniegt Aizdevuma līgumu, Grafiku vai ar tiem saistītos grozījumus, uzskatāms, ka Aizņēmējs tos ir saņēmis. 12.2. Par visiem grozījumiem un papildinājumiem Aizdevuma līgumā Aizdevējs izsaka piedāvājumu Aizņēmējam, nosūtot tos elektroniski uz Lietotāja kontu un/vai e-pasta adresi, bet pēc Aizņēmēja rakstveida pieprasījuma arī uz norādīto deklarēto un/vai faktisko dzīvesvietas adresi. Aizņēmējs 30 dienu laikā no piedāvājuma saņemšanas dienas pieņem xxx xxxxxxx Aizdevēja piedāvājumu, vai rakstveidā izsaka Aizdevējam savus iebildumus, kā arī savus pretpiedāvājumus Aizdevēja piedāvātajiem Aizdevuma līguma grozījumiem un papildinājumiem. Piekrišanu vai noraidījumu Aizdevēja piedāvātajiem Aizdevuma līguma grozījumiem un papildinājumiem, Aizņēmējs dod, Lietotāja kontā izdarot elektronisku atzīmi ar apstiprinājumu/noraidījumu Līguma grozījumiem un papildinājumiem. Piekrišanu Aizdevēja piedāvātajiem Aizdevuma līguma grozījumiem un papildinājumiem, kuri saistīti ar maksājumiem un maksājumu termiņiem, tajā skaitā Aizdevuma līguma 13.nodaļā paredzētajām izmaiņām, Aizņēmējs dod, pārskaitot uz Aizdevēja kontu samaksu Aizdevuma līgumā un gala piedāvājumā noteiktajā kārtībā un apmērā. Aizdevējam ir tiesības atturēties no xxxxx Aizdevuma izsniegšanas Aizņēmējam, ja Aizņēmējs nepiekrīt Aizdevēja piedāvātajiem grozījumiem un papildinājumiem Aizdevuma līgumā. 12.2.1. Jebkuri grozījumi un papildinājumi Aizdevuma līgumā stājas spēkā tikai pēc tam, kad tie ir apstiprināti šajā Aizdevuma līgumā paredzētajā kārtībā. 12.3. Aizdevuma līgums darbojas līdz pilnīgai tajā noteikto saistību izpildei un ir uzskatāms par izpildītu ar brīdi, kad Aizņēmējs ir atmaksājis Aizdevumu, samaksājis Aizdevējam Procentus par visu Aizdevuma lietošanas laiku...

  • Medium Term Securities Notwithstanding any contrary provision herein, if all Debt Securities of a series are not to be originally issued at one time, it shall not be necessary for the Partnership to deliver to the Trustee an Officers’ Certificate, resolutions of the Board of Directors, supplemental Indenture, Opinion of Counsel or written order or any other document otherwise required pursuant to Section 2.01, 2.03, 2.05 or 13.05 at or prior to the time of authentication of each Debt Security of such series if such documents are delivered to the Trustee or its agent at or prior to the authentication upon original issuance of the first such Debt Security of such series to be issued; provided, that any subsequent request by the Partnership to the Trustee to authenticate Debt Securities of such series upon original issuance shall constitute a representation and warranty by the Partnership that, as of the date of such request, the statements made in the Officers’ Certificate delivered pursuant to Section 2.05 or 13.05 shall be true and correct as if made on such date and that the Opinion of Counsel delivered at or prior to such time of authentication of an original issuance of Debt Securities shall specifically state that it shall relate to all subsequent issuances of Debt Securities of such series that are identical to the Debt Securities issued in the first issuance of Debt Securities of such series. A Partnership Order delivered by the Partnership to the Trustee in the circumstances set forth in the preceding paragraph, may provide that Debt Securities which are the subject thereof will be authenticated and delivered by the Trustee or its agent on original issue from time to time upon the telephonic or written order of Persons designated in such written order (any such telephonic instructions to be promptly confirmed in writing by such Person) and that such Persons are authorized to determine, consistent with the Officers’ Certificate, supplemental Indenture or resolution of the Board of Directors relating to such written order, such terms and conditions of such Debt Securities as are specified in such Officers’ Certificate, supplemental Indenture or such resolution.

  • Portfolio Securities Portfolio securities of the Issuer may be bought or sold by or through Distributors, and Distributors may participate directly or indirectly in brokerage commissions or "spreads" for transactions in portfolio securities of the Issuer.

  • Receivables Not To Be Evidenced by Promissory Notes Except in connection with its enforcement or collection of an Account, the Servicer will take no action to cause any Receivable to be evidenced by an instrument (as defined in the UCC as in effect in the State of Delaware).

  • International Olympic Committee; International Red Cross and Red Crescent Movement As instructed from time to time by ICANN, the names (including their IDN variants, where applicable) relating to the International Olympic Committee, International Red Cross and Red Crescent Movement listed at xxxx://xxx.xxxxx.xxx/en/resources/registries/reserved shall be withheld from registration or allocated to Registry Operator at the second level within the TLD. Additional International Olympic Committee, International Red Cross and Red Crescent Movement names (including their IDN variants) may be added to the list upon ten (10) calendar days notice from ICANN to Registry Operator. Such names may not be activated in the DNS, and may not be released for registration to any person or entity other than Registry Operator. Upon conclusion of Registry Operator’s designation as operator of the registry for the TLD, all such names withheld from registration or allocated to Registry Operator shall be transferred as specified by ICANN. Registry Operator may self-­‐allocate and renew such names without use of an ICANN accredited registrar, which will not be considered Transactions for purposes of Section 6.1 of the Agreement.

  • WSIB & LTD An Employee who is receiving benefits under the Workplace Safety and Insurance Act, or under an LTD plan, is not entitled to benefits under a school board’s sick leave and short-term disability plan for the same condition unless the employee is on a graduated return to work program then WSIB/LTD remains the first payor. For clarity, where an employee is receiving partial benefits under WSIB/LTD, they may be entitled to receive benefits under the sick leave plan, subject to the circumstances of the specific situation. During the interim period from the date of the injury/incident or illness to the date of the approval by the WSIB/LTD of the claim, the employee may access sick leave and short-term leave and disability coverage. A reconciliation of sick leave deductions made and payments provided, will be undertaken by the school board once the WSIB/LTD has adjudicated and approved the claim. In the event that the WSIB/LTD does not approve the claim, the school board shall deal with the absence consistent with the terms of the sick leave and short-term leave and disability plans.

  • What Will Happen After We Receive Your Letter When we receive your letter, we must do two things:

  • Valid First Lien The Mortgage is a valid, subsisting, enforceable and perfected, first lien on the Mortgaged Property, including all buildings and improvements on the Mortgaged Property and all installations and mechanical, electrical, plumbing, heating and air conditioning systems located in or annexed to such buildings, and all additions, alterations and replacements made at any time with respect to the foregoing. The lien of the Mortgage is subject only to: (i) the lien of current real property taxes and assessments not yet due and payable; (ii) covenants, conditions and restrictions, rights of way, easements and other matters of the public record as of the date of recording acceptable to prudent mortgage lending institutions generally and specifically referred to in the lender’s title insurance policy delivered to the originator of the Mortgage Loan and (a) specifically referred to or otherwise considered in the appraisal made for the originator of the Mortgage Loan or (b) which do not adversely affect the Appraised Value of the Mortgaged Property set forth in such appraisal; and (iii) other matters to which like properties are commonly subject which do not materially interfere with the benefits of the security intended to be provided by the Mortgage or the use, enjoyment, value or marketability of the related Mortgaged Property. Any security agreement, chattel mortgage or equivalent document related to and delivered in connection with the Mortgage Loan establishes and creates a valid, subsisting, enforceable and perfected first lien and first priority security interest on the property described therein and the Seller has full right to sell and assign the same to the Purchaser. With respect to any Co-op Loan, the related Mortgage is a valid, subsisting and enforceable first priority security interest on the related cooperative shares securing the Mortgage Note, subject only to (a) liens of the related residential cooperative housing corporation for unpaid assessments representing the Mortgagor’s pro rata share of the related residential cooperative housing corporation’s payments for its blanket mortgage, current and future real property taxes, insurance premiums, maintenance fees and other assessments to which like collateral is commonly subject and (b) other matters to which like collateral is commonly subject which do not materially interfere with the benefits of the security interest intended to be provided by the related Security Agreement;

  • Each Exchange Note Separate; Assignees of Exchange Note Each party hereto acknowledges and agrees (and each holder or pledgee of the 2012-A Exchange Note, by virtue of its acceptance of such Exchange Note or pledge thereof acknowledges and agrees) that (i) the Specified Interest is a separate series of the Titling Trust as provided in Section 3806(b)(2) of Chapter 38 of Title 12 of the Delaware Code, 12 Del. Code Section 3801 et seq., (ii) the debts, liabilities, obligations and expenses incurred, contracted for or otherwise existing with respect to (a) the 2012-A Exchange Note or the related 2012-A Reference Pool shall be enforceable against such 2012-A Reference Pool only and not against any other Reference Pool or the Revolving Facility Pool and (b) any other Exchange Note, any other Reference Pool, or the Revolving Facility Pool shall be enforceable against such other Exchange Note, other Reference Pools, or the Revolving Facility Pool only, as applicable, and not against the 2012-A Exchange Note or any 2012-A Lease or 2012-A Vehicle included in the 2012-A Reference Pool, (iii) except to the extent required by law, the leases and the related leased vehicles included in the Revolving Facility Pool or leases and the related leased vehicles included in any other Reference Pool with respect to any other Exchange Note (other than the 2012-A Exchange Note transferred hereunder which is related to the 2012-A Reference Pool) shall not be subject to the claims, debts, liabilities, expenses or obligations arising from or with respect to the 2012-A Exchange Note in respect of such claim, (iv) no creditor or holder of a claim relating to (a) the 2012-A Exchange Note or the related 2012-A Reference Pool shall be entitled to maintain any action against or recover any assets allocated to any other Reference Pool, the Revolving Facility Pool or any other Exchange Note or the assets allocated thereto (except to the extent of amounts available to such Persons on a fully subordinated basis) and (b) any other Reference Pool, the Revolving Facility Pool or any other Exchange Note other than the 2012-A Exchange Note related to the 2012-A Reference Pool shall be entitled to maintain any action against or recover any assets allocated to the 2012-A Reference Pool and (v) any purchaser, assignee or pledgee of an interest in the 2012-A Reference Pool or, the 2012-A Exchange Note, must, prior to or contemporaneously with the grant of any such assignment, pledge or security interest, (a) give to the Titling Trust a non-petition covenant substantially similar to that set forth in Section 11.10 of the Titling Trust Agreement and (b) execute an agreement for the benefit of each holder, assignee or pledgee from time to time of any other Exchange Note to release all claims to the assets of the Titling Trust allocated to the Revolving Facility Pool and each other Reference Pool and, in the event that such release is not given effect, to fully subordinate all claims it may be deemed to have against the assets of the Titling Trust allocated to the Revolving Facility Pool and each other Reference Pool.
