Claims by Others. If the Licensee becomes aware that any person alleges that any of the Marks or any registration for any of the Marks in Canada or elsewhere is invalid, infringes the rights of any person, or is open to any other form of attack, then, the Licensee will not make any admissions in respect of such allegation and will promptly report particulars of the matter to the Licensor and provide all relevant materials if available. If, in the opinion of the Licensor, acting reasonably any of the Marks is likely to or does become the subject of a claim for infringement, passing off or otherwise, the Licensor may, without liability or obligation, terminate the Licence in respect of any such Marks, effective immediately upon delivery of written notice to the Licensee. Upon any such termination, the provisions of Section 4.4 will apply in respect of any such Marks.
Claims by Others. If the User learns that any person or entity is alleging that the Xxxx is invalid, infringes the rights of any party, or is open to any other form of attack, the User will not make any admissions in respect of the allegation and will promptly report the matter to the Province.

If the Institution learns that any person or entity is alleging that any of the Marks is invalid, infringes the rights of any party, or is open to any other form of attack, the Institution will not make any admissions in respect of the allegation and will promptly report the matter to the Province.

If the Licensee learns that any person or entity is alleging that the Certification Xxxx is invalid, infringes the rights of any party, or is open to any other form of attack, then the Licensee will not make any admissions in respect of the allegation and will promptly report the matter to the Licensor.

If the Licensee learns that any person or entity is alleging that any of the Licensed Property is invalid, infringes the rights of any party, or is open to any other form of attack, then the Licensee will not make any admissions in respect of the allegation and will promptly report the matter to the Licensor.
Claims by Others. If the LICENSEE becomes aware that any person alleges that any of the Trade Marks or Domain Names is invalid, infringes the rights of any person, or is open to any other form of attack, the LICENSEE shall not make any admissions in respect of same and will promptly report the matter to the LICENSOR.
Claims by Others. If Licensee becomes aware that any person alleges that the Gage Brand is invalid, infringes the rights of any person, or is open to any other form of attack, then, Licensee will not make any admissions in respect of such allegation and will promptly report the matter to Licensor. Licensor will be responsible to respond, acting reasonably and at its expense, to any such allegations and claims.
Claims by Others. Xxxxxxx agrees to release and discharge EPII not only from any and all claims which he could make on his own behalf, but also those which may or could be brought by any other person or organization in her behalf, and he specifically waives any right to become, and promises not to become, a member of any class in any proceeding or case in which a claim or claims against EPII arise, in whole or in part, from any event which occurred as of the date of this Consulting Agreement and Release.
Claims by Others. Mx. Xxxx agrees not to help, encourage, or voluntarily participate in the asserting or filing of any claim or suit by any third party against Valero or the Released Parties, except as required by law.
Claims by Others. The Executive agrees that he will not encourage or assist any of the Company’s employees to litigate claims or file administrative charges against the Company or its past and present affiliates, officers, directors, owners, employees and agents, unless required to provide testimony or documents pursuant to a lawful subpoena or other compulsory legal process.
