Claims; Judgments. There are no claims, actions or proceedings pending or, to its knowledge, threatened which, if adversely determined, could, directly or indirectly, limit or impair its ability to enter into this Agreement or any other document required to be entered into by it pursuant to this Agreement or to consummate the transactions contemplated hereby or thereby. There are no outstanding or unsatisfied Judgments to which it is a party that could limit or impair its ability to enter into this Agreement or any other document required to be entered into by it pursuant to this Agreement or to consummate the transactions contemplated by this Agreement.

Claims; Judgments. There are no unsatisfied judgments or injunctions issued by a court of competent jurisdiction or other governmental agency outstanding against Buyer relating to the Seller Property, or precluding the Closing of the Transactions.   • Attachments; Judgments Any portion of Borrower’s assets is attached or seized, or a levy is filed against any such assets, or a judgment or judgments is/are entered for the payment of money, individually or in the aggregate, of at least $250,000, or Borrower is enjoined or in any way prevented by court order from conducting any part of its business; or

  • Declaratory Judgment Actions In the event that a declaratory judgment action is brought against M.I.T. or COMPANY by a third party alleging invalidity, unenforceability, or non-infringement of the PATENT RIGHTS, M.I.T., at its option, shall have the right within twenty (20) days after commencement of such action to take over the sole defense of the action at its own expense. If M.I.T. does not exercise this right, COMPANY may take over the sole defense of the action at COMPANY's sole expense, subject to Sections 7.4 and 7.5.

To accept HHSC's reimbursement rates as payment in full for the services specified in this Contract to the persons for whom a payment is received, and to make no additional charge to the individual, any member of their family or to any other source for any supplementation for such services, unless specifically allowed by HHSC rules.
