Close of Escrow and Buyer's Conditions. Close of Escrow shall be -------------------------------------- subject to the following conditions which are for Buyer's benefit only. Buyer may waive any or all of the conditions in its sole discretion, but only in writing. Seller shall diligently attempt to achieve the satisfaction of these conditions without undue delay. If any of these conditions has not been met, then, unless waived by Buyer, Escrow Holder, upon receipt of notification from Buyer and without further instructions from Seller, shall immediately cancel the escrow and return the Additional Deposit to Buyer, less one-half of the escrow costs incurred, and neither Party shall have any further obligation, rights, or liability under this Agreement. The preliminary title report, as amended from time to time, by the title insurer, is referred to herein as the "Title Report." In the event of such cancellation Seller shall pay the other one-half (1/2) of escrow costs.
