Closing Certificate of Buyer. Buyer shall have delivered to Sellers a certificate signed by an authorized officer of Buyer, dated the Closing Date, as to the matters set forth in Section 8.2(a) and in form and substance reasonably satisfactory to Sellers.
Closing Certificate of Buyer. Seller and Seller's Affiliates shall have received from Buyer a certificate executed by a duly authorized officer of Buyer dated the date of the Closing Date ("Closing Certificate of Buyer"), certifying that all representations and warranties of Buyer set forth in this Agreement are true, complete, and correct in all material respects on and as of the Closing Date as if made at that time and that Buyer has performed and complied in all material respects with all agreements, covenants, and conditions required by this Agreement to be performed or complied with by Buyer on or before the Closing Date.
Closing Certificate of Buyer. Paltalk shall have received a certificate, dated as of the Closing Date, signed by a Responsible Officer of Buyer certifying that, to the best of such Responsible Officer’s knowledge, the conditions set forth in Sections 9.2(a) and 9.2(b) have been satisfied.
Closing Certificate of Buyer. At the Closing, Buyer shall furnish to the Company a certificate signed by a officer of Buyer, dated as of the Closing Date, to the effect that the conditions specified in Section 8.1(a) and Section 8.1(b) have been satisfied by Buyer.

If necessary in the opinion of Seller, Selling Shareholder and their counsel, Buyer shall have delivered to Seller a certificate signed by the President of Buyer, dated the Closing Date, certifying to the fulfillment of the conditions specified in Sections 11.1, 11,2 and 11.3.
Closing Certificate of Buyer. Seller shall have received a certificate executed and delivered by an executive officer of Buyer, dated as of the Closing Date, stating therein that the conditions set forth in Sections 8.03(a) and 8.03(b) have been satisfied.
