Closing Date, Time and Place. The closing of the transactions contemplated by this Agreement (the "Closing"), shall take place at the offices of Squire, Sanders & Dempsey L.L.P., 4900 Key Tower, 127 Public Square, Clevelxxx, Xxio xx 00:00 a.m., lxxxx xxxx, xx Xxxxx 00, 0000 (xxx "Xxxxxxx Xxxx"), or at such other time and location as Seller and Buyer shall mutually agree in writing.
Closing Date, Time and Place. Unless this Agreement has been terminated pursuant to Section 7.1 hereof, the consummation of the Merger (the "Closing") shall take place on the third business day after all of the conditions to closing set forth in Article VI are fulfilled or waived, or such other date and at such other time as the Company and Newco may agree in writing (the "Closing Date").
