Common use of Closing Deliveries of the Purchaser Clause in Contracts

Closing Deliveries of the Purchaser. At the Time of Closing, the Purchaser will deliver or cause to be delivered: (a) share certificates (or Direct Registration System Statements) evidencing the Consideration Shares; (b) a certificate representing the Replacement Warrants; (c) a certificate of one of the Purchaser’s senior officers or directors, dated as of the Closing Date, certifying: (i) that attached thereto are true and complete copies of the constating documents of the Purchaser (and all amendments thereto as in effect as on such date); and

Closing Deliveries of the Purchaser. ‌ At the Time of Closing, the Purchaser will deliver or cause to be delivered: (a) share certificates (or Direct Registration System Statements) evidencing representing the Consideration SharesShares registered to the Shareholders in accordance with Schedule “A” attached hereto; (b) a certificate representing the Replacement Warrants; (c) a certificate of one of the Purchaser’s senior officers or directorsofficers, dated as of the Closing Date, certifying: (i) that attached thereto are true and complete copies of the constating documents of the Purchaser (and all amendments thereto as in effect as on such date); and;
