Instruments of Assumption. The Xxxx of Sale, executed by the Buyer.
Instruments of Assumption. (i) The Xxxx of Sale;
(ii) the Assignment and Assumption;
(iii) the Assignment of Proprietary Rights;
(iv) the Assignment of Station Licenses; and
(v) all other instruments and certificates of assumption, novation and release as the Seller may reasonably request in order to effectively make the Purchaser responsible for all Assumed Liabilities and release the Seller therefrom to the fullest extent permitted under applicable Law.
Instruments of Assumption. Seller shall have received duly executed instruments of assumption of the Assumed Obligations, duly executed by an authorized officer of Buyer, in form and substance reasonably satisfactory to Seller and its counsel, as is necessary or desirable to effect the assumption by Buyer of the Assumed Contracts as contemplated by this Agreement.
Instruments of Assumption. The Buyer and each Seller shall have executed and delivered an Instrument of Assumption in the form of EXHIBIT B attached hereto.
Instruments of Assumption. There shall have been delivered to Sellers by Purchaser the instruments of assumption (the "Assumption Instruments"), in substantially the form set forth in Schedule 6.2.1.
Instruments of Assumption. A Xxxx of Sale, Assignment and Assumption Agreement substantially in the form of Exhibit B (the “Xxxx of Sale”) and such other instruments, certificates or documents as shall be reasonably requested by Seller for the assignment and assumption of the Assumed Liabilities.
Instruments of Assumption. Execution and delivery to Seller by Buyer on the Closing Date of an Assignment and Assumption Agreement, in the form attached hereto as Exhibit E;
Instruments of Assumption. The Company shall have received from QDL such instruments of assumption with respect to the Assumed Liabilities as the Company may reasonably request, duly executed by QDL.
Instruments of Assumption. The applicable Purchasing Entities shall have executed and delivered to the applicable Selling Entities instruments of assumption sufficient for the applicable Purchasing Entities to assume the Assumed Liabilities applicable to the Purchased Assets acquired by it including, without limitation, a Deed of Change of Principal Employer and Trustees in the form set forth in Exhibit 5.8(a). The Purchasing Entities shall also deliver a certificate of the Secretary or an Assistant Secretary (or local equivalent) of each of such Persons setting forth a copy of the resolutions duly adopted by its Board of Directors authorizing and approving the execution and delivery of this Agreement and the consummation of the transactions contemplated hereby.
Instruments of Assumption. Buyer shall have executed and delivered to Seller all documents, certificates and agreements reasonably requested by Seller or Seller's counsel to evidence Buyer's acceptance of the assignment, transfer or conveyance of the Purchased Assets and UK Buyer's acceptance of the transfer of the Shares, and to effect the assumption by Buyer of the Assumed Liabilities, including without limitation one or more appropriate assignment and assumption agreements.
