Common use of Closing; Further Assignments Clause in Contracts

Closing; Further Assignments. (a) The sale and assignment of the Second-Tier Assets will take place on the 2015-A Closing Date concurrently with the closings under the First-Tier Sale Agreement and the Indenture. (b) The Depositor acknowledges that the Issuer will, under the Indenture, assign and pledge the Second-Tier Assets and certain other property and rights to the Indenture Trustee for the benefit of the 2015-A Secured Parties. The Depositor consents to the assignment and pledge. (c) The Issuer acknowledges the appointment of Ford Credit as Servicer of the Collateral Specified Interests under the Servicing Agreement and as Servicer of the 2015-A Reference Pool under the Servicing Supplement.
