Co-Products Agreement. Promptly following the Execution Date and until the earlier of (a) the termination of this Agreement in accordance with its terms and (b) the Closing Date (or such longer period as the Parties may mutually agree in writing), Seller and Buyer shall work together in good faith and use commercially reasonable efforts to negotiate and finalize an agreement for the sale of Sale and Purchase Agreement petroleum coke and sulfur from the Refinery by Buyer to Seller for a period from and after the Effective Time.
