Common use of Commercial Use Clause in Contracts

Commercial Use. Use of the Licensed Materials for the purposes of monetary reward by means of sale, resale, loan, transfer, hire, or other form of commerce. For the avoidance of doubt, neither recovery of direct costs exclusive of the Fee by any Member from Authorized Users, nor use by the Licensee or Authorized Users of the Licensed Materials in the course of research funded by a commercial organization, nor the payment of a fee by a person in order to be registered with the Member, is deemed to constitute Commercial Use.

Commercial Use. Use of the Licensed Materials To use for the purposes of monetary reward (whether by or for the Licensee or an Authorized User) by means of sale, resale, loan, transfer, hire, hire or other form of commerceexploitation of the Licensed Materials. For the avoidance of doubt, neither recovery of direct costs exclusive of by the Fee by any Member Licensee from Authorized Users, nor by use by the Licensee or by an Authorized Users User of the Licensed Materials in the course of research funded by a commercial organization, nor the payment of a fee by a person in order to be registered with the Member, organization is deemed to constitute be Commercial Use.

For the avoidance of doubt, neither the following uses shall not be deemed to constitute Commercial Use: recovery of direct costs exclusive of the Fee by any Member from Authorized Users, nor use by the Licensee or from Authorized Users of the Licensed Materials in the course of research funded by a commercial organization, nor the payment ; recovery of a fee by a person copying costs as outlined in order to be registered with the Member, is deemed to constitute Commercial UseSection 3.5.

For the avoidance of doubt, neither recovery of direct costs exclusive of the Fee by any Member from Authorized Users, nor use by the Licensee or Authorized Users of the Licensed Materials in the course of research funded by a commercial organization, nor the payment of a reasonable fee by a person in order to be registered with the MemberMember as a Walk-in User, is deemed to constitute Commercial Use.
