Community Commitments. Lincoln and Jefferson-Pilot each acknowledge and agree that it is their intent that, after the Effective Time, Lincoln (or its charitable foundation) will engage in charitable giving and other charitable activities to the same or a greater degree as currently undertaken by Lincoln. Without limiting the foregoing, after the Effective Time, Lincoln (or its charitable foundation) shall use its reasonable best efforts to (i) honor and fulfill all charitable commitments made by Jefferson-Pilot prior to the date of this Agreement, provided such commitments do not exceed $2,500,000 in the aggregate or five years in duration, and (ii) each year for a period of five years, engage in charitable giving in respect of the communities to which Jefferson-Pilot currently gives, at a level equal to the greater of (x) $2.5 million in aggregate per year or (y) the level determined using Lincoln’s charitable giving formula.

Community Commitments. Following issuance of the Notice-to-Proceed (NTP) for the first task to be performed by CD M JV under this Agreement, CD M JV commits to providing the Community Benefits Commitments detailed below during the 14-year term of the Agreement. CD M JV' s commitments shall be funded independently by CD M J V and shall not be tied to or dependent upon SFPUC funds or sources of funding, receivables from SFPUC, or retention associated with this Project. Because this is an As-Needed contract, CD M JV acknowledges that there is no guarantee that the entire contract not-to-exceed amount set forth in section I will be funded. Instead, work is issued on a task order basis as it is needed by the SFPUC, and Contractor is not entitled to funding beyond any order. The provision of Community Benefits Commitments by CD M JV does not entitle CD M JV to additional task orders or additional work beyond issued-task orders. In the event that the contract value is not fully expended, is delayed or is otherwise amended, the parties hereby agree to meet and discuss the impact to the corresponding Community Benefit Commitments at least annually. The representations, warranties and other terms contained in this Community Benefit Commitments section have been designed by CD M J V as the basis for a Community Benefit Plan, but are for the sole benefit of the parties hereto and shall not be construed as conferring any rights on any other persons or entities. As stated in the Request for Proposals "Although this Task G is a deliverable it is a zero-dollar task. Zero hours should be allotted in your Overhead and Profit Schedule (OPS) for this task. No hours or dollars should be allotted or included in Proposer's costs for this Project in order to perform or deliver your voluntarily proposed Community Benefits commitments. If the Proposer commits any funds to delivering the Community Benefits commitments it proposes, all such funds must be independent of SFPUC funding or any dollars associated with this Project. If the Proposer commits to contributing any funds to performing or delivering its commitments related to this task, such funds may not be dependent in any way upon receipt of SFPUC funding, including not being dependent upon release of retention, etc."
Community Commitments. Tenant covenants and agrees that, subject in all respects to the rights of subtenants, licensees and other parties with contractual rights to use or operate at certain portions of the Premises from time-to-time, and further subject to reasonable rules and regulations promulgated by Tenant that are in effect in respect of operations at the Premises from time-to-time:
(a) North Huntingdon Township shall be permitted to host or hold community-focused events at or upon certain portions of the Premises (as shall be mutually agreed upon between Landlord and Tenant annually, in advance, in respect of the next upcoming calendar year) for up to ten (10) days per calendar year; and
(b) In addition to the community-focused events contemplated in Section 8.03(a), North Huntingdon Township shall be permitted to rent the sports fields and other athletic facilities located at the Premises, at the greater of (i) the rental rates charged from time-to-time by the Norwin School District for similar facilities owned and operated by the Norwin School District and (ii) the current rates charged by the Norwin School District for similar facilities owned and operated by the Norwin School District (which are set forth below). Community Commitments. Parent acknowledges and agrees that, following the Effective Time, it will (a) cause the Surviving Corporation to honor and fulfill all charitable and community commitments made by the Company and its Subsidiaries prior to the date of this Agreement as set forth in Section 6.16 of the Company Disclosure Schedule, and (b) support the Safeco Insurance Foundation in engaging in charitable and community giving and other charitable and community activities in a manner consistent with that undertaken by the Safeco Insurance Foundation prior to the date of this Agreement (including by honoring and fulfilling all charitable and community commitments made by the Safeco Insurance Foundation prior to the date of this Agreement as set forth in Section 6.16 of the Company Disclosure Schedule), provided that any additional contributions by Parent to the Safeco Insurance Foundation following the Effective Time shall be made in a manner and to the extent consistent with Parent's charitable giving policies in effect from time to time.
