Company and Selling Securityholder’s Representations and Warranties. (A) Each of the Fundamental Representations shall be true and correct in all respects (other than any de minimis failure to be true and correct) on the date such Fundamental Representation was made and as of the Closing Date as though such Fundamental Representations were made on and as of such date (other than such representations and warranties that are made only as of a specified date, each of which shall be true and correct in all respects (other than any de minimis failure to be true and correct) as of such date).
