Company Designated Representations. “Company Designated Representations” shall mean the representations and warranties set forth in Sections 2.1, 2.22, 2.24 and 2.27. Company Disclosure Schedule. “Company Disclosure Schedule” shall mean the Company Disclosure Schedule that has been prepared by the Company in accordance with the requirements of Section 9.6 of the Agreement and that has been delivered by the Company to Parent on the date of the Agreement.

Company Designated Representations. “Company Designated Representations” shall mean the representations and warranties set forth in Section 3.03(a), Section 3.03(c), Section 3.03(e), Section 3.21, Section 3.22, Section 3.23, Section 3.26 and Section 3.29. Company Disclosure Schedule. “Company Disclosure Schedule” shall mean the Company Disclosure Schedule as of the date of the First Merger Agreement that is attached to the Agreement as Exhibit D; it being understood that (i) the Company Disclosure Schedule is unchanged from that delivered by the Company in connection with the First Merger Agreement on the date thereof and (ii) all references to Sections or subsections in the Company Disclosure Schedule shall, in accordance with Section 9.06, be read as adjusted numerically to reflect the addition of Article 1 in this Agreement and the resulting changes to all Article, Section and subsection numbers thereafter.

  • Executive’s Representations Executive hereby represents and warrants to the Company that (i) the execution, delivery and performance of this Agreement by Executive do not and shall not conflict with, breach, violate or cause a default under any contract, agreement, instrument, order, judgment or decree to which Executive is a party or by which he is bound, (ii) Executive is not a party to or bound by any employment agreement, noncompete agreement or confidentiality agreement with any other person or entity and (iii) upon the execution and delivery of this Agreement by the Company, this Agreement shall be the valid and binding obligation of Executive, enforceable in accordance with its terms.
