Common use of Company Remains Liable Clause in Contracts

Company Remains Liable. Anything herein to the contrary notwithstanding, (i) the Company shall remain liable under any contracts, agreements and other documents included in the Collateral, to the extent set forth therein, to perform all of its duties and obligations thereunder to the same extent as if this Agreement had not been executed, (ii) the exercise by the Collateral Agent, any Sub-Collateral Agent or any Secured Party of any of the rights granted to the Secured Parties hereunder or under any other S&O Transaction Document or LC Credit Document shall not release the Company from any of its duties or obligations under any such contracts, agreements and other documents included in the Collateral, and (iii) no Secured Party shall have any obligation or liability under any such contracts, agreements and other documents included in the Collateral by reason of this Agreement, nor shall any Secured Party be obligated to perform any of the obligations or duties of the Company thereunder or to take any action to collect or enforce any such contract, agreement or other document included in the Collateral hereunder.

Anything herein to the contrary notwithstanding, (ia) the Company shall remain liable under any contracts, the contracts and agreements and other documents included in the Collateral, Assigned Collateral to the extent set forth therein, to and shall perform all of its duties and obligations thereunder under such contracts and agreements to the same extent as if this Assignment Agreement had not been executed, , (iib) the exercise by the Collateral Agent, any Sub-Collateral Agent or any Secured Party Trustee of any of the its rights granted to the Secured Parties hereunder or under any other S&O Transaction Document or LC Credit Document shall not release the Company from any of its duties or obligations under any such contracts, contracts or agreements and other documents included in the Assigned Collateral, and and (iiic) no neither the Collateral Trustee nor any other Secured Party shall have any obligation or liability under any such contracts, contracts or agreements and other documents included in the Assigned Collateral by reason of this AgreementAssignment Agreement or by the exercise by the Collateral Trustee of its rights hereunder or under any other Secured Debt Document, nor shall the Collateral Trustee or any other Secured Party be obligated to perform any of the obligations or duties of the Company thereunder or to take any action to collect or enforce any such contract, agreement or other document included in the Collateral claim for payment assigned hereunder.
