Common use of Company Secretary’s Certificate Clause in Contracts

Company Secretary’s Certificate. The Company shall have delivered to the Noteholders a certificate of its secretary or an assistant secretary (or an equivalent officer) certifying as to the constitutional documents and resolutions attached thereto and other corporate proceedings relating to the authorization, execution and delivery of the Amendment, in form and substance reasonably satisfactory to the Noteholders and their special counsel.

Company Secretary’s Certificate. The Company shall have delivered to the Noteholders you a certificate of its secretary or an assistant secretary (or an equivalent officer) certifying as to the constitutional documents and resolutions attached thereto and other corporate proceedings relating to the authorization, execution and delivery of the AmendmentNotes, in form this Agreement and substance reasonably satisfactory the other Financing Documents to which the Noteholders and their special counselCompany is a party.

The Company shall have delivered to you a certificate, dated the Noteholders a certificate of its secretary or an assistant secretary (or an equivalent officer) Effective Date, certifying as to the constitutional documents and resolutions attached thereto and other corporate proceedings relating to the authorization, execution and delivery of each of the Amendment, in form and substance reasonably satisfactory Financing Documents to which the Noteholders and their special counselCompany is a party.

The Company shall have delivered to the Noteholders you a certificate of its secretary or an assistant secretary (or an equivalent officer) certifying as to (i) the constitutional documents and resolutions attached thereto and other corporate proceedings relating to the authorization, execution and delivery by the Company of the Amendment, Notes and the Agreements and (ii) the Company’s organizational documents then in form and substance reasonably satisfactory to the Noteholders and their special counseleffect.

The Company shall have delivered to the Noteholders a certificate of its secretary Secretary or an assistant secretary (or an equivalent officer) one of its Assistant Secretaries, dated the Effective Date, certifying as to the constitutional documents and resolutions attached thereto and other corporate proceedings relating to the authorization, execution and delivery of the Amendment, in form and substance reasonably satisfactory Financing Documents to the Noteholders and their special counselwhich it is a party.

Company Secretary’s Certificate. The Company shall have delivered to each of the Noteholders a certificate of its secretary or an assistant secretary (or an equivalent officer) certifying as to the constitutional documents and resolutions attached thereto and other corporate proceedings relating to the authorization, execution and delivery of the Amendment, this Fourth Amendment which shall each be in form and substance reasonably satisfactory to the Noteholders and their special counsel.
