Common use of Company Secretary’s Certificate Clause in Contracts

Company Secretary’s Certificate. The Company shall have delivered to you a certificate of its Secretary or one of its Assistant Secretaries, substantially in the form set out in EXHIBIT 3.3(b), dated the Restatement Date, certifying as to the resolutions attached thereto and other corporate proceedings relating to the authorization, execution and delivery of the Notes and the Note Purchase Agreements and the other Financing Documents to which it is a party.

Company Secretary’s Certificate. The Company shall have delivered to you a certificate of certificate, dated the Restatement Date, and executed by its Secretary or one of its Assistant Secretaries, substantially in the form set out in EXHIBIT Exhibit 3.3(b), dated the Restatement Date, certifying as to the resolutions attached thereto (and attaching a copy thereof) and other corporate proceedings relating to the authorization, execution and delivery of the Notes and Notes, this Agreement, the Note Purchase Agreements Reaffirmation Letter and the other Financing Documents to which it is a party.

The Company shall have delivered to you a certificate of its Secretary or one of its Assistant Secretaries, substantially in the form set out in EXHIBIT 3.3(b), dated the Restatement Date, certifying as to (i) the resolutions attached thereto and other corporate proceedings relating to the authorization, execution and delivery by the Company of the Notes and the Note Purchase Agreements and (ii) the other Financing Documents to which it is a partyCompany’s organizational documents then in effect.
