Company’s Release of Executive. The Company for itself and on behalf of the Company Parties hereby irrevocably and unconditionally release and forever discharge the Xxxxxx Parties from any and all Claims, including, without limitation, any Claims based upon contract, tort, or under any federal, state, local or foreign law, that the Company Parties may have, or in the future may possess, arising out of any aspect of Xxxxxx’x employment relationship with and service as an employee, officer, director or agent of the Company, or the termination of such relationship or service, that occurred, existed or arose on or prior to the date hereof, excepting any Claim which would constitute or result from conduct by Xxxxxx that constituted the basis for termination for Cause under the Agreements or could be a crime of any kind. Anything to the contrary notwithstanding in this Release, nothing herein shall release Xxxxxx or any other Executive Party from any Claims based on any right the Company may have to enforce this Release or any of the Agreements.

The Company for itself and on behalf of the Company Parties hereby irrevocably and unconditionally release and forever discharge the Executive and each of the Executive’s respective heirs, executors, administrators, representatives, agents, successors and assigns (collectively, the “Executive Parties”) from any and all Claims , including, without limitation, any Claims under any federal, state, local or foreign law, that the Company Parties may have, or in the future may possess, arising out of (i) the Executive’s employment relationship with and service as an employee, officer or director of the Company, and the termination of such relationship or service, and (ii) any event, condition, circumstance or obligation that occurred, existed or arose on or prior to the date hereof. Anything to the contrary notwithstanding in this Agreement, nothing herein shall release the Executive or any other Executive Party from any Claims based on any right the Company may have to enforce this Agreement or the Employment Agreement. The Company represents that as of the Effective Date it knows of no basis for any Claim by it against the Executive.

Anything to the contrary notwithstanding in this Release, nothing herein shall release Employee or any other Employee Party from any Claims based on any right the Company may have to enforce this Release or the Employment Agreement.

Anything to the contrary notwithstanding in this Release, nothing herein shall release ________ or any other ________ Party from any Claims based on any right the Company may have to enforce this Release or the Agreement or any of the Applicable Agreements.

The Company for itself and on behalf of the Company Parties hereby irrevocably and unconditionally release and forever discharge the Employee Parties from any and all Claims, including, without limitation, any Claims based upon contract, tort, or under any federal, state, local or foreign law, that the Company Parties may have, or in the future may possess, arising out of any aspect of Employee’s employment relationship with and service as an employee, officer, director or agent of the Company or any of its subsidiaries or affiliates, or the termination of such relationship or service, that occurred, existed or arose on or prior to the date hereof, excepting any Claim which would constitute or result from conduct by Employee that could constitute the basis for termination for Cause under the Employment Agreement or could be a crime of any kind. Anything to the contrary notwithstanding in this Release, nothing herein shall release Employee or any other Employee Party from any Claims based on any right the Company may have to enforce this Release or the Employment Agreement.
Company’s Release of Executive. The Company releases and discharges Executive from any and all claims, liabilities or obligations of every kind and nature, whether now known or unknown, suspected or unsuspected, which the Company ever had or now has arising prior to the date of the signing of this Agreement, including but not limited to all claims arising out of or in connection with his employment by the Company. This release includes all federal and state common law claims (including those for contract and tort), and claims under any federal or state statute or ordinance. Notwithstanding the above, nothing in this Agreement shall act as a release or waiver of any claim by the Company against Executive for the theft, misuse, or improper disclosure of the Company’s confidential, proprietary or trade secret information and the Company knows of no such acts as of the date hereof.

The Company for itself and on behalf of the Company Parties hereby irrevocably and unconditionally release and forever discharge the DxXxxxx Parties from any and all Claims, including, without limitation, any Claims based upon contract, tort, or under any federal, state, local or foreign law, that the Company Parties may have, or in the future may possess, arising out of any aspect of DxXxxxx’x employment relationship with and service as an employee, officer, director or agent of the Company, or the termination of such relationship or service, that occurred, existed or arose on or prior to the date hereof, excepting (i) any Claim which would constitute or result from conduct by DxXxxxx that constituted the basis for termination for Cause under the Agreement or could be a crime of any kind, or (ii) rights arising under or in respect of the Option Agreements. Anything to the contrary notwithstanding in this Release, nothing herein shall release DxXxxxx or any other DxXxxxx Party from any Claims based on any right the Company may have to enforce this Release or the Agreement or any of the Applicable Agreements.
Company’s Release of Executive. The Company and all of its Affiliates hereby and forever release Executive from, and agree not to xxx concerning, or in any manner to institute, prosecute, or pursue, any actions, cause or causes of action, in law or in equity, suits, debts, liens, contracts, agreements, promises, liability, claims, demands, damages, loss, cost or expense, of any nature whatsoever, known or unknown, fixed or contingent, which the Company and its Affiliates now have or may hereafter have against Executive arising from any omissions, acts, facts, or damages that have occurred up until and including the Effective Date of this Release, except that the Company and its Affiliates do not waive any claims for common law fraud committed by Executive.
Company’s Release of Executive. The Company, for itself and on behalf of the Company Released Parties, and in consideration of Executive's release contained in Section 1(a) above, does hereby REMISE, RELEASE and FOREVER DISCHARGE the Executive and his heirs, executors, administrators, and assigns (collectively, the "Executive Released Parties"), from any and all claims, including attorney fees and costs, liabilities, demands, and causes of action, known or unknown, fixed or contingent, which the Company or any of the Company Released Parties may have or ever claim to have against the Executive or any of the Executive Released Parties including, without limitation, claims arising out of or in any way connected to Executive's employment, separation from employment or termination of employment with the Company or the Company Released Parties. The Company, for the Company Released Parties, also waives any other common law or statutory claims against the Executive and the Executive Released Parties, including but not limited to any claim for negligence or any form of tort, whether negligent, reckless or intentional. The Company, for the Company Released Parties, agrees and covenants that should any other person, organization, or other entity file, charge, claim, xxx, or cause or permit to be filed any civil action, suit or legal proceeding involving any matter occurring at any time in the past, up to and including the date of this Agreement, neither the Company nor any of the Company Released Parties will seek or accept any personal relief in such civil action, suit or legal proceeding. Notwithstanding anything in this Section 1(b) to the contrary, this release of claims shall not apply to any rights or claims (i) that may arise as a result of events occurring after the date of this Agreement or (ii) to enforce the terms and provisions of this Agreement (each, a "Company Release Exclusion").
