Comparison with Government Lists. As required by the USA PATRIOT Act and its implementing regulations, FMER will verify that an Applicant is not included on any lists of known or suspected terrorists or terrorist organizations issued by the United States government. If an Applicant is included on any such lists, FMER will not establish a Loan for the Applicant and will immediately notify SunTrust of such a fact.

Comparison with Government Lists. Each Fund shall determine, with respect to each of its customers, whether the customer’s name appears on any list of known or suspected terrorists or terrorist organizations issued by a federal government agency and designated as such by the Department of the Treasury in consultation with the federal functional regulators. Such determination shall take place within a reasonable period of time of account opening (or earlier, if required by another federal law or regulation or federal directive). The Funds shall follow the federal directives issued in connection with any such list, as applicable. The AML Compliance Officer will be consulted regarding any “matches” with such lists prior to any action being taken.

If the Primary Applicant or the Secondary Applicant, as applicable, is included on any such lists, FMER will not establish a Loan for the Primary Applicant or the Secondary Applicant, as applicable, and will immediately notify SunTrust of such fact.

  • Performance of Government Functions Nothing contained in this contract shall be deemed or construed so as to in any way estop, limit, or impair the City from exercising or performing any regulatory, policing, legislative, governmental, or other powers or functions.

  • Taxes, duties and government charges 9.1 The Grantee agrees to pay all taxes, duties and government charges imposed or levied in Australia or overseas in connection with the performance of this Agreement, except as provided by this Agreement. 9.2 If Goods and Services Tax (GST) is payable by a supplier on any supply made under this Agreement, the recipient of the supply will pay to the supplier an amount equal to the GST payable on the supply, in addition to and at the same time that the consideration for the supply is to be provided under this Agreement. 9.3 The Parties acknowledge and agree that they each: (a) are registered for GST purposes; (b) have quoted their Australian Business Number to the other; and (c) must notify the other of any changes to the matters covered by this clause. 9.4 The Grantee agrees that the Commonwealth will issue it with a recipient created tax invoice for any taxable supply it makes under this Agreement. 9.5 The Grantee agrees not to issue tax invoices in respect of any taxable supplies. 9.6 If the Grantee is not, or not required to be, registered for GST, then: (a) clauses 9.3(a), 9.4 and 9.5 do not apply; and (b) the Grantee agrees to notify the Commonwealth in writing within 7 days of becoming registered for GST if during the term of the Agreement it becomes, or is required to become, registered for GST.

  • Government Procurement 1. Articles II, XVI and XVII shall not apply to laws, regulations or requirements governing the procurement by governmental agencies of services purchased for governmental purposes and not with a view to commercial resale or with a view to use in the supply of services for commercial sale. 2. There shall be multilateral negotiations on government procurement in services under this Agreement within two years from the date of entry into force of the WTO Agreement.

  • GOVERNMENT DATA PRACTICES Supplier and Sourcewell must comply with the Minnesota Government Data Practices Act, Minnesota Statutes Chapter 13, as it applies to all data provided by or provided to Sourcewell under this Contract and as it applies to all data created, collected, received, maintained, or disseminated by the Supplier under this Contract.

  • Damage to Government Property A. In the event of loss, destruction, or damage to any System Agency or State of Texas owned, leased, or occupied property or equipment by Performing Agency or Performing Agency’s employees, agents, Subcontractors, and suppliers, Performing Agency shall be liable to System Agency and the State of Texas for the full cost of repair, reconstruction, or replacement of the lost, destroyed, or damaged property. B. Performing Agency shall notify System Agency of the loss, destruction, or damage of equipment or property within one (1) business day. Performing Agency shall reimburse System Agency and the State of Texas for such property damage within 10 calendar days after Performing Agency’s receipt of System Agency’s notice of amount due.

  • Compliance with Government Regulations The Company covenants that if any share of Common Stock required to be reserved for purposes of exercise or conversion of Warrants require, under any federal or state law or applicable governing rule or regulation of any national securities exchange, registration with or approval of any governmental authority, or listing on any such national securities exchange, before such shares may be issued upon exercise, the Company will use its commercially reasonable efforts to cause such shares to be duly registered, approved or listed on the relevant national securities exchange, as the case may be.
