Common use of Compensation and Benefits following Change in Control Clause in Contracts

Compensation and Benefits following Change in Control. Upon the termination of the Executive’s employment by the Corporation without Cause or by the Executive for Good Reason, in accordance with the terms of this Agreement, in each case, on or after the Effective Date and prior to the end of the Term, the Corporation shall cause to be provided to the Executive, the following payments and benefits:

Compensation and Benefits following Change in Control. Upon Following both: (i) a Change in Control of the Corporation; and (ii) the termination of the Executive’s employment by the Corporation without Cause or by the Executive for Good Reason, in accordance with the terms of this Agreement, in each case, on or after the Effective Date and prior to the end of the Term, the Corporation shall cause to be provided to the Executive in exchange for the Executive’s execution and return to the Corporation of a General Release on such date and in such form as may be provided to the Executive by the Corporation, acting reasonably, the following payments and benefitsbenefits in full satisfaction of all of the Corporation’s obligations to the Executive:
