The Consultant shall provide invoices each month for Work accomplished through the last day of the preceding month. The Consultant’s invoices shall include a description of the Work performed by and the hours worked by each person for the billing period. Compensation and Invoicing. The Board District agrees to pay CONTRACTOR on a time-and-materials not-to-exceed basis as follows: Billing will be in general accordance with Exhibits [XXX Number]. [XXX List Budget Detail] Total Agreement Not-to-Exceed Amount: [XXX $ Amount]. DISTRICT shall compensate pay CONTRACTOR on a net-30 day basis. CONTRACTOR assumes the full responsibility for his/her acts or liabilities including those of his/her employees or agents as they relate to the services to be provided under this Agreement. CONTRACTOR shall assume full responsibility for payment of all federal, state, and local taxes or contributions, including unemployment insurance, social security, and income taxes, with respect to CONTRACTOR’s employees. The Consultant warrants that it has DISTRICT will not paid withhold taxes for CONTRACTOR or promised CONTRACTOR’s employees or independent subcontractors. CONTRACTOR agrees to indemnify and hold DISTRICT harmless from and against any and all liability arising from any failure of CONTRACTOR to pay or withhold any compensation to anyone (except Board-approved subcontractors and the Consultant's officers and employees) in order to obtain this Agreement.
