Common use of Compensation for Providing Information Clause in Contracts

Compensation for Providing Information. The Requesting Party agrees to reimburse the Providing Party for the reasonable costs, if any, of creating, gathering, copying, transporting and otherwise complying with the request with respect to such Information (including any reasonable costs and expenses incurred in any review of Information for purposes of protecting the Privileged Information of the Providing Party or in connection with the restoration of backup media for purposes of providing the requested Information). Except as may be otherwise specifically provided elsewhere in this Agreement or in any Ancillary Agreement, such costs shall be computed in accordance with the Providing Party’s standard methodology and procedures and if there is no such standard methodology and procedures, then on a commercially reasonable basis.

The Requesting Party requesting Information agrees to reimburse the Providing providing Party for the reasonable costs, if any, of creating, gathering, copying, transporting gathering and otherwise complying with the request with respect to copying such Information (including any reasonable costs and expenses incurred in any review of Information for purposes of protecting the Privileged privileged Information of the Providing providing Party or in connection with the restoration of backup media tapes for purposes of providing the requested Information), to the extent that such costs are incurred for the benefit of the requesting Party. Except as may be otherwise specifically provided elsewhere in this Agreement or in any Ancillary Agreement, such costs shall be computed in accordance with the Providing providing Party’s standard methodology and procedures procedures, if any, and if there is no such standard methodology and procedures, then on a commercially reasonable basis.

The Requesting Party requesting information pursuant to Section 6.1 agrees to reimburse the Providing other Party for the reasonable costs, if any, of creating, gathering, copying, transporting gathering and copying such information or otherwise complying with the request with respect to such Information information (including any reasonable costs and expenses incurred in any review of Information information for purposes of protecting the any Privileged Information of the Providing providing Party or in connection with the restoration of backup media tapes for purposes of providing the requested Informationinformation).
