Compensation for Technical Support Services. During the Initial Scope of Work, Developer and TxDOT shall meet and negotiate the terms and conditions for Developer’s performance of Technical Support Services, including the scope of the services and compensation therefor. If the parties agree that Developer should perform such services prior to completion of the Initial Scope of Work, the parties shall include the agreed upon terms and conditions for the Technical Support Services and the compensation therefor in Exhibit I, otherwise the parties shall include such terms, conditions and compensation in the Master Development Plan. Developer’s compensation for Technical Support Services shall be calculated and paid in accordance with Exhibit I or the approved Master Development Plan, as applicable. Agreement by the parties on the terms of Developer’s compensation for Technical Support Services shall be a condition to Developer’s obligation to perform Technical Support Services.
