Compensation of Officers and Employees. Except as disclosed in Section 4(v) of the Redwood Empire Disclosure Schedule, no officer or employee of Redwood Empire or any of its subsidiaries is receiving aggregate direct remuneration at a rate exceeding $40,000 per annum. Except as disclosed in Section 4(v) of the Redwood Empire Disclosure Schedule, the consummation of the transactions contemplated by this Agreement will not (either alone or upon the occurrence of any additional or further acts or events) result in any payment (whether of severance pay or otherwise) becoming due from Redwood Empire or any of its subsidiaries or Westamerica to any employee of Redwood Empire or any of its subsidiaries. Except as disclosed in Section 4(v) of the Redwood Empire Disclosure Schedule, no employee of Redwood Empire or any of its subsidiaries is entitled under any existing contract or arrangement to receive or will receive from Redwood Empire or any of its subsidiaries a partial-year bonus if the Merger or Bank Merger is completed before December 31, 2004.

Except as disclosed in the NVBancorp Disclosure Schedule, (i) no officer or employee of NVBancorp or NVB is receiving aggregate direct remuneration at a rate exceeding Seventy-five Thousand Dollars ($75,000) per annum, and (ii) the consummation of the transactions contemplated by this Agreement and the Merger Agreement will not (either alone or upon the occurrence of any additional or further acts or events) result in any payment (whether of severance pay or otherwise) becoming due from NVBancorp to any employee of NVBancorp.
Compensation of Officers and Employees. Except as Previously -------------------------------------- Disclosed to WABC, (i) no officer or employee of ValliCorp or the ValliCorp Subsidiaries is receiving aggregate direct remuneration at a rate exceeding $50,000 per annum, and (ii) the consummation of the transactions contemplated by this Agreement will not (either alone or upon the occurrence of any additional or further acts or events) result in any payment (whether of severance pay or otherwise) becoming due from ValliCorp or the ValliCorp Subsidiaries or WABC to any employee or consultant of ValliCorp and the ValliCorp Subsidiaries.
Compensation of Officers and Employees. The compensation paid to each officer of each Obligor for the 12-month period ending on the last day of the month immediately preceding the month in which the Closing Date occurs, including salaries, withdrawals, fees, bonuses, commissions, profits distributions, drawing accounts and other payments, has been disclosed to Administrative Agent and Lenders. All such compensation that is due and payable as of the Closing Date has been paid in full as of the Closing Date.
Compensation of Officers and Employees. Except as disclosed in the YCB Disclosure Schedule, no officer or employee of YCB is receiving aggregate direct remuneration at a rate exceeding Fifty Thousand Dollars ($50,000.00) per annum.

Except as disclosed in the SRNB Disclosure Schedule, (i) no officer or employee of SRNB is receiving aggregate direct remuneration at a rate exceeding Seventy-five Thousand Dollars ($75,000) per annum, and (ii) the consummation of the transactions contemplated by this Agreement and the Merger Agreement will not (either alone or upon the occurrence of any additional or further acts or events) result in any payment (whether of severance pay or otherwise) becoming due from SRNB or NVBancorp to any employee of SRNB.
Compensation of Officers and Employees. No officer or employee of KSB is receiving aggregate direct remuneration at a rate exceeding $40,000 per annum. The consummation of the transactions contemplated by this Agreement will not (either alone or upon the occurrence of any additional or further acts or events) result in any payment (whether of severance pay or otherwise) becoming due from KSB or WABC to any employee of KSB.
Compensation of Officers and Employees. Except as set forth on the Employee List, which has been delivered to BARRA pursuant to Section 3.2(f), (i) no officer or employee of GAT is receiving aggregate direct remuneration at a rate exceeding $30,000 per annum, and (ii) except as provided in this Agreement, the consummation of the transactions contemplated by this Agreement will not (either alone or upon the occurrence of any additional or further acts or events) result in any additional payment (whether of severance pay or otherwise) becoming due from GAT or BARRA to any employee of GAT.
Compensation of Officers and Employees. The salaries and compensation (if any) of all officers and employees will be fixed by the Board.
